acquisition of property for retail branches and offices through

purchases of raw and improved land, as well as ground leases and

40 completed transactions per year and a total aggregate transaction

entailed legal review, negotiation and advice from letter of intent

stage through closing, project development and completion, including:

resolving title insurance issues;

foot headquarters.

acquisition of unimproved land to $300,000,000+ financing secured by

multiple shopping centers in several states.

. Represented borrowers in negotiation of loan documents and closing of

loans secured by real estate, including a $23,000,000 defeasance loan

involving defeasance of prior financing.

. Represented a developer in contract negotiations, due diligence review

and closing of its acquisition of properties ranging from 300 to 900+

acres to be developed for residential, commercial and mixed uses.

. Drafted contracts for acquisition and disposition of real property

including:

> Creative sales contracts of multiple lots to builders, including

financing provisions and incentive structures;

> Complex agreements regarding commercial buildings, involving

contingencies based on land use matters.

. Drafted and negotiated development agreements, easement agreements,
