1999)
Provided general corporate counsel assistance to the investment
management subsidiaries of Mellon Bank Corporation. Advised senior
officers concerning securities law regulatory matters, software
contracts, investment management agreements, marketing and advertising
matters, portfolio matters (including securitized transactions, novel
investments, and other transactional issues), ERISA, employment, and
fiduciary matters. Served as Corporate Secretary to the Boards of
Directors of several affiliates. Made presentations at Board meetings.
Negotiated transactions and drafted agreements to support the private
asset management division's provision of wholesale trust support
services. Developed and delivered training (live and through
videoconferences) to in-house client in multiple locations within the
United States and Europe. Managed outside counsel.
CIGNA Corporation
Associate Counsel Hartford CT (1988 -
1996)
Advised client base of in-house investment officers concerning
structural issues and investment risks applicable to, and negotiated
and drafted documents with respect to, a wide variety of investment
transactions including project finance, real estate mortgage
financing, securitized transactions, and traditional private
placements. Assessed the special requirements of domestic and
international deals in many industry segments, including retail,
manufacturing, financial services, broadcast and communications, oil
and gas, cogeneration, health care, transportation, and professional
services. Advocated company positions in issuer workout and
bankruptcy negotiations; drafted amendments and restructuring
agreements. Reorganized and improved the efficiency of legal staff
and investment officers by creating model documents including term
sheets, administrative and transaction checklists, UCC procedures
outlines, and model note purchase agreements. Managed dozens of
outside counsel.

1988)
Practiced securities, real estate, and investment law. Served as
officer of series mutual fund underlying variable annuity and variable
life separate accounts. Drafted SEC filings, Board and annual meeting
agendas, votes and presentations. Researched investment and tax law
issues, including legislative developments. Gained exposure to ERISA,
real estate, tax and corporate law matters.

Saint Luke church
Director of Religious Education McLean VA (2007-
2010)
Planned, implemented and managed all religious education programs for
this active parish, including:
Parish School of Religion (over 800 children and 125 teachers and
volunteers); High School Service Organization; Adult Faith Formation.
Managed a staff of three; counseled catechists, parents and students.
Made presentations at regional conferences for the training of new
teachers. Significant accomplishments include: student enrollment more
than doubled, initiated the Generations of Faith program in which over
500 parishioners participate at each of multiple events each year.
Created a new High School Service Organization, added additional adult
programs, formed a Religious Education Committee that met monthly,
instituted a program that includes social outreach at every grade level
and enhanced the existing outreach programs (including to the Fishing
School in Washington, DC).
Small Business Owner
Fitness Centers Fairfax County VA (2002-
present)
Following 1999 move from Boston to Metro DC area and decision to
suspend legal practice a few years in order to remain home with
children, purchased fitness center in McLean, expanded the operation,
and relocated it to more spacious quarters. Acquired, operated and
later sold fitness operations in Falls Church and Fairfax. Acquired
and operate locations in Chantilly and South Riding. Manage a
workforce of approximately 20 class managers, 4 childcare providers,
and 16 fitness instructors; negotiate leases; execute all tax
compliance and franchisee reporting.
