Provide defense-related international procurement services, ongoing support to The Allied Defense Group, Inc., defense
industry expertise for an activist hedge fund, and sales support in the federal healthcare and IC markets.
The Allied Defense Group, Inc. (ADG), Vienna, VA April 2004 – November 2010
ADG was a global, publicly-traded, holding company for defense and security businesses. The company historically operated
in large- and medium-caliber ammunition and electronic security products and services.
Transaction / Deal Manager (July 2009 – November 2010)
Served as deal manager for this extremely complex, protracted deal. Managed securities counsel, US and European tax
counsel, deal counsel, investment bankers, and white-collar counsel. Extensive reporting, updating and strategizing with the
Board of Directors. Served as General Manager and was responsible for the orderly wind-down of the company following
the sale of the remaining operating assets. Led resolution of administrative, HR, financial, legal, and shareholder matters
while continuing to operate as a public company.
Vice President of Corporate Strategic Development (2004 – November 2010)
Responsible for corporate strategy and corporate development. Significant financial issues beginning in Q4 2005 rendered
further acquisitive growth non-viable. This resulted in a focus on organic growth and divestiture of non-core assets.
Divested five, non-core, electronics companies: Four to foreign buyers, one to a domestic, private equity buyer.

As tasked by the Audit Committee of the Board, led the internal investigation of allegations of export (ITAR and
EAR) and FCPA violations.
Co-led a very difficult refinancing following a default on a convertible PIPE.
President - Global Security Group (2005 – 2007)
Formed and served as President of this global, electronic security operating unit with $65 million in revenue. Held P&L
responsibility through its dissolution in late 2007. Sale of this rapidly growing and highly profitable unit was necessitated by
the repayment terms of renegotiated convertible debt.
Initiated and formed Global Security Group in 2005 through the consolidation of three operating companies based in
Belgium and the U.S.
Developed and implemented a sales system and program for the U.S. operations in
early 2006.
Personally handled electronics BD activity for international commercial accounts,
principally projects in MENA countries, and major Federal proposal efforts, both as a prime and in conjunction with
integrators.
Devised and implemented plan for consolidation of back-office functions in
Southern California while companies maintained their brand identities.

Aviation/Transportation.
Served as a member of the Executive Committee. Led the restructuring of operations. Co-led the corporate
refinancing with the CFO. Led planning, strategy, and discussions surrounding strategic transactions.
Restructured the firm’s marketing and sales functions, growing funded backlog from $15 million to more than $100
million after two years of steady decline.
Acted as the company’s sole “elephant hunter” to generate game-changing opportunities in emerging markets.
