. Applied Materials: Amended the $1.0Bn syndicated revolver with
new balance sheet-driven financial covenants. The amendment
request stemmed from unfavorable macro-economic conditions during
2009, causing EBITDA to be negative.

$750MM TLA and $400MM REV) as the Administrative Agent and Lead
Arranger to finance the acquisition of Andrew Corporation.
Established FX and Derivative limits for the Company to hedge
currency risk through closing and post-acquisition.
. SanDisk China: Structured and underwrote $125MM of permanent
financing through combination of bank loans, mortgage loans and
export financing to finance the acquisition and development of a
building in Shanghai for its test and assembly operations.
