solutions to the U.S. automotive industry. Guided company through a

transition from Canadian trading to US trading on OTC: BB. Drafted

SEC reports, MD&A, Forms SB-2, 8-K, 10-Q and 10-K. SOX initiatives.

Served as CFO and Corporate Secretary in a turn-around environment.

up. Served as Corporate Controller, guided company through a reverse

. Diversifax, Inc. An operator of 3000 rental copy and rental fax machines

in the Eastern US. Served as CFO to assist Company in move from NY to

FL, hired new staff and revised reporting. Assisted majority shareholder

transition company from OTC-BB to Pink Sheets to facilitate management

LBO. (OTC-BB "DFAX")

. Sailtech Technologies, Inc. A start-up pleasure boat manufacturer.

Assisted management with reverse acquisition in lieu of IPO, SEC

reporting including Form 8-K's, 10-K's, 10-Q's and M, D&A. (Pink Sheets

"SAIL")

. Intershow, Inc. A $10MM producer of Financial Shows and seminars for high

net worth investors. Served as Chief Operating Officer. Re-organized

accounting department and hired new staff. Evaluated product lines and

assisted owners with strategic sale of health related show and evaluated

potential acquisition of new shows. Assignment length - 12 months by

initial agreement.

. Soper International, Inc. A start-up contact lens manufacturer.

Developed budgeting, cash flow, and financial reporting, assisted with

due diligence, deal structure, and post closing integration of two

acquisitions. Project aggregated 5 months.

. An international manufacturer of hi-tech sensors. Spent two months at

manufacturing plants in San Jose, CA and El Paso, TX, updating cost

structures, budgets, product lines, and headcount. Assignment length - 2

months by initial agreement.

1995 - 1996 JUST LIKE HOME, INC. - A developer and operator of

Assisted Living Facilities - (NASDAQ: JLHC) IPO -

July 1995. Served as Interim CFO to take Company

public and establish initial public reporting

procedures.

1993 - 1995 SALVATORI OPHTHALMICS, INC - AC LABS, INC. - An $11MM (NASDAQ:

EYES) multi-location manufacturer of contact lenses

and supplies. Served as interim CEO and CFO to re-

capitalize company, structure two acquisitions and

ultimate merger with larger company.

1990 - 1993 WESMAR PARTNERS LLP - A venture capital firm with investments

in a variety of portfolio companies, in diverse

industries. Served in various senior financial and

operating positions including CFO of $40MM business

unit, and CEO of $12MM business unit. Extensive M&A

work including deal structure and post closing

integration.

Prior Experience: After graduation from college, worked for Arthur

Andersen & Co. as an Audit Senior. Went on to

private industry, and held a series of accounting

positions in multi-location, multi-company,

environments with domestic and international sales of

$200MM and 2,000 employees.

Concurrent work: Served as President and 1/3 partner of a CPA practice in

Sarasota from 1986 through 1994. Purchased practice

in 1986 with $125,000 in annual fees and partners

built practice to over $500,000 in annual fees before

merging with larger CPA firm in Sarasota area
