This position involved general managerial oversight and
development of tax-exempt
entities world-wide related to The Rotary Foundation of Rotary
International. These
entities were located in Australia, Brazil, Canada, Germany,
India, Japan and the
United Kingdom. In addition to general managerial oversight, the
position involved
legal analysis of both domestic and foreign law, accounting and
tax issues, cash flow
and program expenditures.
1998 to 2007 Assistant General Counsel
This position involved practice areas such as contract, tax and
general corporate
work based on both domestic and foreign law. My responsibilities
included being appointed to lead the Rotary International
Strategic Planning Task Force overseeing the review of corporate
governance for the international association. The position also
involved primary oversight of international non-profit
foundations affiliated with The Rotary Foundation listed in the
previous section. Further responsibilities included assisting
with grant audits and litigation in various countries,
involvement in international contract negotiations and providing
regular counsel to the international Board of Directors and the
Board of Trustees.
1991 to 1998 General Counsel
In this position, I served as the first General Counsel for both
Rotary International and The Rotary Foundation. Rotary
International is one of the world's largest and oldest non-
profit corporations, with member clubs in over 180 countries.
The position involved advising on matters of domestic and
foreign law and legislation, including associations, contract,
corporate, trademark and employment law. My duties also involved
management issues, including advising two corporate boards and
the chief operating officer.
As General Counsel, I oversaw as many as 35 staff members and
served as secretary
to various Board and association committees. These included
serving as the staff
liaison to the Board's executive committee, administration
committee, licensing,
marketing & sponsorship committee, bylaws committee and member
of the chief
operating officer's executive management team. During this
period, I was
significantly involved in the development of corporate-wide
policies regarding
licensing, sponsorship, trademark and employee practices.

emphasis in environmental and asbestos insurance coverage
