POSITION SUMMARY
This position coordinates administrative support services directly for the Office of the General Counsel
which include: legal research and writing, budget, finance, and purchasing. Responsibilities will include:
maintaining and updating project lists; update the invoice spreadsheet and the invoices folder, coordinate
meetings and conference calls; ability to handle high volume of documentation work; formulating the
departmental budget and/or integration of departmental goals; review department expenditures, and
contracts to insure accountability for all funds allocated to the department; Incumbent works with
personnel including training as needed; researches answers concerning policy and procedures,
departmental operations and expenditures.
ESSENTIAL DUTIES AND RESPONSIBILITIES
Manages 1.8M to 3.7M accounting or budget activities, payroll and provides fiscal information.
Assists with drafting various legal documents including contracts, legal compliance related
documents, company policies and procedures, memoranda and other documents as assigned.
Interprets, clarifies, explains and ensuring appropriate compliance with agency policies and
procedures, business practices, federal or state laws and regulations.
Oversee and coordinate the monthly Board of Commissioners Meetings and Strategy Planning
retreats including drafting resolutions.
Oversee procurement for supplies, equipment, and/or services for orders and selects vendors based
on price considerations. Notifies vendors and departments regarding procurement procedures and
the status of purchase orders. Validates, reconciles, and processes receiving reports, vendor
invoices, and other payment documents.
Maintain cordial, productive, and effective working relationships with administrative support staff and
other personnel while maintaining the confidentiality of all information.
Assists with all real estate closings (homeownerships, purchase and sale, and mixed-finance).
Manages and handles real estate transactions and administrative projects as they are assigned.
Drafts and prepares real estate transaction documents (authority documents, loan documents, and
legal descriptions).
Oversee and coordinate monthly billing process for outside counsel; prepare for the General
Counsel’s review all statements submitted by outside counsel; interact with administrative support
staff in the offices of outside counsel as needed to ensure the preparation, submission, review, and
timely payment of properly documented invoices.
Coordinates and/or acts as a liaison between agency or work unit and other agencies, work units,
organizations, suppliers.
Reviews, maintains, and organizes closing binders and files relating to legal matters (including files
related to AHA real estate portfolio, policies contracts, real estate transactions, litigation, and other
legal matters and documents).
Performs searches, retrieves and/or researches public and private records in accordance with
applicable state and federal laws.
Maintains and organizes document control, tracking and tracing; reviews case files and/or digests trial
folders, relating to litigation and other legal matters.
Conducts legal research, including analysis of cases, statutes, regulations, Patriot Act and
appropriate legal forms using hard copy libraries, virtual libraries and web-based legal research
researches.
KNOWLEDGE, SKILLS, AND ABILITIES
Structure, organize, and maintain filing systems of all legal and administrative documents.
Prepare, edit, and revise legal documents as well as correspondence and memoranda; maintain
current reading file of all Office of General Counsel correspondence.
Screen and direct telephone calls and inquiries to appropriate parties.
Laws governing access to public and private records (Government Records Access and Management
Act).
Deal with people in a manner which shows sensitivity, tact, and professionalism.
Work with others by assigning/directing work; staff training and development.
Prepare resolutions, agenda items, and back-up information for Board meetings as required.
Extensive knowledge of English grammar, syntax, spelling, punctuation, composition, word
processing software, databases, spreadsheets, and office management policies and procedures.
Effective editing and document layout skills. Willingness to expand understanding of and practice
effective dispute resolution methods.
Ability to perform highly responsible administrative duties, and communicate professionally (orally and
in writing).
Demonstrated ability to maintain confidentiality, prioritize work, work independently, represent the
Office General Counsel in a professional manner, and make decisions using discretion and sound
judgment.
Ability to take the initiative to improve work processes and solve, and ultimately minimize problems.
