Operations Manager and Deputy Project Manager for Veolia W ater, I was responsible for the

water treatment and supply systems of Buffalo Water. My responsibilities included, managing

operations staff, pumping plant operations, distribution system, filtration plant operations, as well,

as other mechanical services.

Bell Utilities, LLC 2011-2012

Bell Utilities, LLC (Bell) was a multifaceted utility consulting firm designed to offer turnkey utility

services in the areas of utility acquisitions, regulatory representation, financial services, and utility

management. Additionally, I serve as a senior consultant/associate for a nationally known utility

financial solutions company known as AUS Consultants, Inc.

Bell Utilities, Inc. 2000-2011

Vice President, Minority Principal

I served as Vice President and Minority Principal for Bell Utilities, Inc. (Bell) and was General

Manager of a wholly owned subsidiary known as Bell Utilities of Mississippi, LLC. While working

in those positions I was the person in charge and on the ground during the acquisition of many

ailing utility systems.

Bell undertook negotiations to acquire the systems operated as ABE and EUS Utilities which

were outside of and nearly surrounded Oxford, MS. During the acquisition process, the Chancery

Court of Lafayette County gave Bell full control of all aspects of managing and operating the

seventeen systems until a closing could occur. I served as court appointed receiver for the

systems in my capacity as Vice President of Bell for six months prior to closing the asset

purchase.

As the person on the ground in Mississippi, I dealt with all aspects of the acquisitions including

working with, and negotiating with the regulatory agencies involved. I handled all utility financial

management, arranged the sale and transfer and operated the system as a proper utility

company. I began repairs immediately in order to assure healthy drinking water and proper

treatment of wastewater as dictated by its various federal permits.

These systems were notorious and the situation was heavily covered by the press. During the

take over, I dealt with all media outlets to keep the customers and the general public up to date

on the turnaround of these high profile systems.

Due to the work Bell accomplished in the Lafayette County matter, I was asked by the Public

Service Commission’s General Counsel to assist the Mississippi Public Service Commission in

curing a second infamous utility in southern Mississippi. This system was in extreme disrepair

and its owner was being investigated by the Department of Justice for pollution. I worked very

close with the Public Service Commission and the Mississippi Department of Environmental

Quality in arranging the acquisition of Black Creek Retreat Utilities located in Forrest County

Mississippi.

Ultimately, the Bell systems in Mississippi consisted of 18 water and wastewater facilities.

My responsibilities included managing every aspect of the second largest private utility in

Mississippi. I was actively involved in all aspects of acquisition, sale/transfer negotiations, rate

increase activities, and subsequent sale. All systems were repa ired and received approvals from

the Mississippi Public Service Commission, Department of Health, and The Mississippi

Department of Environmental Quality.

I managed all operation and administrative activities of the multi-system utility. I took a pro-active

role in utility public relation with customers, homeowners associations, governmental bodies and

regulatory agencies. I participated in many interviews with newspaper, radio and media as

necessary to inform customers of status of systems.

It is important to note as a result of the destruction caused by hurricane Katrina, I became

a court appointed receiver of Dixie Utilities located in Picayune, MS. I was the first

privately owned utility company to become a receiver of public utility in Mississippi.

Bell was also interested in other activities and I travelled to and participated in many due

diligence investigations. As an example, I investigated and negotiated an acquisition of a co -

generation plant in Cattaraugus County, NY and acquired a large landfill in West Virginia.

Additionally, I traveled to many states searching for potential acquisitions of natural gas and

electric assets, often dealing directly with the financial underwriters, bondholders, and senior

management.

United Chemicals and Technologies, Inc. (UC&T) was a full service water/wastewater and

environmental consulting company. UC&T services also included construction of specialty

wastewater plants, and biosolids dewatering services.

In my capacity as the President of UC&T, I represented and assisted municipal and industrial

clients solve various regulatory, environmental and operational issues as related to water and

wastewater.

UC&T was merged successfully with Bell Utilities, Inc. in 2000.

I was recruited by Coastal Fuels, Inc. of Houston Texas, which was one of the largest competitors

in the fuel side of the oil business. I was task with increasing its Jacksonville, FL fuel sales. I was

responsible for moving over 17 million gallons of fuel per week from the Jacksonville, FL terminal

to independent fuel distributors.

Ashland Chemicals, Inc. a division of Ashland Oil was the nation’s largest chemical distributor

and manufacturer in the United States. I was transferred to the Jacksonville, FL facility from

Mobile, AL to assist in regaining market share lost due to the ineffectiveness of local Ashland

management. Clients included the most recognizable names in manufacturing such as Olin Corp.

and Martin Marietta. I was in charge of all chemical sales and hazardous waste disposal in my

North Florida and South Georgia territory. At times, I lead the southeastern region with chemical

pounds sold, new accounts procured, and hazardous waste pounds disposed.

Ashland Chemicals, Inc. 1983-1984

National Management Trainee

I was 1 of 3 people chosen out of several hundred nat ional candidates to attend the Ashland

Chemical Management Program. Hired at Ashland headquarters in Columbus Ohio, and

assigned to the Mobile, AL facility, I was trained in all areas of plant management, office

management and sales management. Upon completion of the detailed training program I

continued to work at the Mobile facility waiting to be assigned to an Ashland facility somewhere in

the United States as a problem solver in areas of plant operations, administration, or sales. I was

assigned to The Jacksonville, Florida chemical plant.
