EXPERIENCE
AMERISHADE, INC., Founding Shareholder/Chief Financial Officer, Dallas, Texas (2004-
present). AmeriShade is a construction company specializing in cable-tensioned fabric structures.
Its products include custom-designed sun and hail protection canopies for automobile dealerships,
commercial parking lots, etc. Other products include dock covers for distribution centers,
aeronautical canopies and specialty architectural canopies. Clients include Sonic Drive-Ins,
Walgreens and the U.S. Air Force. Negotiated and secured SBA debt facilities. Responsible for all
financial, accounting and administrative aspects of the company.
SOUTHWEST TEXAS CAPITAL, L.L.C., Principal, Dallas, Texas (2003-2009). Co-founded
this FINRA general securities broker/dealer specializing in institutional bond trading, financial
planning for individuals and sales of stocks, bonds, life insurance and annuities. Held Series 24, 7, 6
and 63 securities licenses. I was inactive in the day-to-day operations of this business venture after
2003.
ERNST & YOUNG, Senior Manager-Mergers & Acquisitions Services, Dallas, Texas (1999-
2001). The primary service in this practice was buy-side due diligence, analyzing and challenging
historical financial information and operational data in order to understand profit drivers and trends.
In addition, I advised clients on appropriate transaction structure, challenged assumptions of future
performance, and assisted them with purchase/sale agreements and post-closing transaction matters.
I also provided sell-side services, helping clients in their preparation to dispose of a company or a

JEFFERY L. LIGHTFOOT, CPA, Sole Practitioner, Dallas, Texas (1997-1998, 2002). My
services included business consulting, business plan preparation and financial forecasts/projections.
Examples of engagements in my practice included:
• Financial due diligence, projections and capital procurement for start-ups.
• Financial due diligence and projections for private equity acquisitions.
LSI CAPITAL, L.L.C., Chief Financial Officer and Member, Dallas, Texas (1992-1996). LSI
Capital was an acquisition and advisory group. We raised equity and debt for numerous financial
transactions. Engagements included management of a tender offer to take a public company private
and the purchase of a large publicly-held corporation out of bankruptcy. During my time at LSI, we
evaluated approximately 50 potential transactions and closed on only a few, including Hollywood
Theaters, Inc., which became LSI’s primary investment and management focus in 1995. Hollywood
came to own and operate over 80 movie theaters. I was also the CFO of Hollywood Theaters. My
duties and accomplishments at LSI/Hollywood include:
• Designed and implemented LSI’s and Hollywood Theaters’ accounting and financial
reporting systems.
• Created and maintained banking and outside advisor relationships, including fee
arrangements.
• Coordinated and led due diligence processes and teams comprised of operations, financial
advisor, legal, human resources, tax and accounting personnel, in acquisition and financing
transactions.
• Prepared all projected statements of operations, balance sheets and statements of cash flows,
including IRR analyses.
• Negotiated and reviewed loan documents and other contracts for operations and
transactions.
On large transactions, we worked in conjunction with reputable law firms such as Baker & Botts
and Sterling & Sterling and with financial firms such as Merrill Lynch and Goldman Sachs.
MUIRFIELD HOLDINGS, L.P., Chief Financial Officer, Dallas, Texas (1989-1991). Muirfield
Holdings owned two companies, one a manufacturer of automotive glass products, the other a
manufacturer of glass tempering furnaces--combined annual sales of approximately $40 million.
These companies were sold in 1991 at which time LSI Capital (see above) was established by
principals of Muirfield Holdings.
• Designed, implemented, and controlled the company’s corporate accounting and financial
reporting systems.
• Initiated and completed multi-million dollar, low-interest industrial development revenue
bond program.
• Negotiated lines of credit and long-term debt arrangements with financial institutions.
• Negotiated pricing and payment terms of supply contracts with automobile OEMs.
Muirfield Holdings, L.P. was my client when I was at KPMG. At KPMG I was involved in
assisting Muirfield in the preparation of its forecasts and pro forma financial statements utilized in
the solicitation of capital for purchases of its operating entities described above.

KPMG, Audit Senior Manager, Dallas, Texas (1985-1988). Specific responsibilities included:
planning, coordination and supervision of all phases of financial statement examinations; forecasts
and projections, primarily of large multi-family real estate transactions for private investors; general
accounting assistance, tax planning and compliance; consultation with management on financial
planning, accounting systems and management policies; supervision of the preparation of financial
statements and SEC registrations; litigation support services and; training and evaluation of the
performance of professional staff. Industries of specialization included manufacturing, high
technology, real estate, construction and franchising.
PEAK INVESTMENTS CORPORATION, Treasurer and Controller, Dallas, Texas (1984). I
was responsible for all financial and accounting aspects of this real estate developer of multi-family
housing units in the Dallas/Ft. Worth area.
ERNST & YOUNG, Audit Manager, Dallas, Texas (1975-1983). Responsibilities were similar to
those at KPMG described above. Clients included both public and private companies. Larger clients
included E-Systems (now Raytheon), Overhead Door Corporation and Texas Industries, Inc.
(including its real estate affiliate, Brookhollow Corporation).
