RESPONSIBILITIES:
Mentor and work with entry-level associates
Communicate with clients and draft documents for firm projects
Support the senior attorneys on projects and tasks as needed
SKILLS & PROFILE:
Admission to the New York Bar in good standing
Strong academic background with a top tier law school
CANDIDATE MUST HAVE 3-5 PLUS YEARS OF EXPERIENCE IN COMMERCIAL AND CORPORATE TRANSACTIONS
Candidate must have experience with drafting and revising terms and conditions, supply and distribution agreements, shareholders’ agreements, joint venture agreements, licensing agreements, and master services agreements
The willingness to tackle complex transactions
Experience with federal procurements (FARS and DFARs) and export control is preferred.
Prior mergers and acquisitions (buy and sell side) experience is also preferred.
Proven strong legal research, writing and analytical skills
Ability to interpret, analyze, organize and express complex legal material quickly and accurately
Strong attention to detail and organizational skills
Ability to work independently and proactively meet deadlines and achieve individual objectives within larger team projects and goals
High levels of self-direction, self-motivation and energy
Strong communication, presentation and interpersonal skills
Ability to effectively relate to and build relationships with all levels of staff
Ability to thrive in a team environment
Desire to gain experience and contribute to general corporate matters
QUALIFICATIONS:
ADMISSION TO THE NEW YORK BAR REQUIRED; ALSO, ADMISSION TO OTHER STATES (NJ, CA, ME, OK, AK, NE) PREFERRED.
3-5 YEARS OF RELEVANT EXPERIENCE
Strong academic background with journal and/or moot court experience
Strong computer abilities, including use of Microsoft Office products; Word, Outlook and Excel highly preferred
Strong Westlaw experience
