We're a leading recruitment company in Sri Lanka looking for a Corporate Secretary for a Finanancial Services company based in Colombo. This role requires a dynamic professional with strong legal, compliance, and governance expertise. The ideal candidate will be confident in engaging with senior stakeholders, coordinating governance activities, and traveling regularly across the country, including branch visits.

Key Responsibilities:

Provide strategic guidance on corporate governance practices, ensuring full compliance with legal and regulatory requirements.

Manage and maintain all statutory records, board documentation, and regulatory filings.

Coordinate Board and Committee meetings, including agenda preparation, minute-taking, and follow-up actions.

Advise senior management and the Board on governance, legal, and compliance matters.

Ensure adherence to internal policies, regulatory standards, and best practices in corporate governance.

Act as a liaison between the Board, regulatory bodies, and internal departments.

Support risk management, compliance monitoring, and policy development initiatives.

Facilitate smooth communication across multicultural and geographically dispersed teams.

Conduct branch visits and travel frequently across Sri Lanka to support governance and compliance functions.

Qualifications & Requirements:

Bachelor’s degree in Law, Corporate Governance, Business Administration, or a related field.

Professional qualifications in corporate secretarial practice (e.g., ICSA/CGI) are preferred.

5–7 years of experience in a corporate secretary or governance-related role, preferably within financial services or microfinance.

Demonstrated ability to independently manage governance, legal, and compliance responsibilities.

Excellent written and verbal communication skills.

High level of integrity, confidentiality, and professional ethics.

Willingness and ability to travel frequently within Sri Lanka.
