Senior Corporate Paralegal

THE ROLE YOU WILL PLAY
Support private and public company clients with corporate governance, entity management, and transactional work
Form, maintain, and dissolve corporate entities; prepare organizational documents
Coordinate transaction and financing closings and prepare closing deliverables
Draft and file corporate and securities filings at the state and federal level
Prepare legal opinions and assemble supporting documentation
Organize corporate records, conduct due diligence, and help prepare disclosure schedules
Manage stock certificates, cap tables, and option records
Research Blue Sky requirements and prepare related filings
Provide guidance and training to junior paralegals and case assistants
Maintain confidentiality and uphold high standards of accuracy and professionalism

BACKGROUND PROFILE
Bachelorâ s degree required
5+ years of corporate transactional paralegal experience, ideally in PE, Capital Markets, or M&A
Strong writing, communication, and organizational skills with ability to manage multiple priorities
Advanced proficiency in Microsoft Office; Excel expertise preferred
Experience with equity tools such as Carta or Shareworks a plus
Ability to maintain confidentiality and work effectively with attorneys and staff
Willingness to work overtime as needed
