Corporate Attorney

Job Description

Job Summary:

We are seeking a highly motivated and detail-oriented Corporate Attorney with a minimum of 3 years of relevant legal experience to join our legal team. The ideal candidate will be licensed to practice law in the state of Florida and have a strong background in corporate law, including experience with contract negotiation, corporate governance, compliance, and general business advisory.

Key Responsibilities:

Provide legal advice and guidance on a wide range of corporate matters, including business formation, structuring, and corporate governance.

Draft, review, and negotiate a variety of commercial contracts, including vendor agreements, NDAs, partnership agreements, and licensing deals.

Support M&A transactions, due diligence, and post-acquisition integration activities.

Ensure compliance with federal, state, and local laws and regulations applicable to business operations.

Collaborate with internal departments including finance, HR, and executive leadership to support strategic initiatives.

Assist in developing internal policies and training programs to mitigate legal risk.

Stay current on relevant legal and regulatory developments and provide proactive guidance to stakeholders.

Qualifications:

Juris Doctor (JD) degree from an accredited law school.

Active member in good standing of the Florida Bar (required).

Minimum of 3 years of experience practicing corporate law, either at a law firm, in-house legal department, or a combination of both.

Strong knowledge of corporate, contract, and business law.

Excellent drafting, negotiation, and communication skills.

Demonstrated ability to manage multiple projects and prioritize workload in a fast-paced environment.

High level of professionalism, integrity, and discretion.

Preferred Qualifications:

Prior in-house counsel experience is strongly preferred.

Experience in hospitality, cruise, or travel industries is highly desirable.

Familiarity with employment law, data privacy, and intellectual property matters is an advantage.

Experience in regulated industries (e.g., travel, finance, healthcare, technology) is a plus.
