We are searching on behalf of our client (a custom industrial equipment production facility located just west of the GTA) for an experienced Contracts Specialist. The Contracts Specialist will provide legal and contractual support in collaboration with the COO and VP of Sales, check and manage risks by identifying them within the organization and mitigating them through controls. They should be well-versed in legal terminology, contractual agreements, and possess a background in contract administration. The Contracts Specialist will work closely with procurement and sales managers to ensure that contracts comply with legal requirements and operational objectives.

Responsibilities and Duties:

The responsibilities and accountabilities of the position include, but are not limited to, the following:

Contracts Management:

Draft, review, and negotiate various contracts, including vendor agreements, service contracts, and non-disclosure agreements.

Reviewing and revising contracts to ensure compliance with the company’s risk tolerance, internal client needs, and applicable laws.

Assist internal clients in interpreting contract terms and clearly explain the implications of

specific provisions.

Participate in negotiations with customers via video or phone calls as required.

Identify and mitigate risks associated with contracts and recommend strategies for risk management.

Advising on the resolution and enforcement of contract-related issues.

Provide training and guidance for staff on contract-related issues and best practices.

Maintaining a contract database and filing system for easy access and retrieval.

Approving customer purchase orders (P.O.s).Corporate Secretarial Duties:

Facilitate the proper filing of corporate documents, including statutory filings and compliance records.

Maintain corporate governance records, ensuring timely updates to registers and databases.

Support the preparation of annual reports and other compliance documents.

Creating and filing minutes from board meetings.Corporate Governance:

Monitor the latest global political and legal developments, advising the Senior Management

Team on recommended actions.

Assist in the development and implementation of corporate governance policies and procedures.

Collaborate with legal firms, the parent company, and sister companies to minimize group risks.

Identify risk exposures and propose solutions to mitigate or eliminate such risks whenever

possible.

STC – Security Trade Control checks.

Performing other duties as assigned. Education & Skills:

A post-secondary degree in law, business, or commerce is preferred, including contractual /commercial law components

Certification in contract management (e.g., NCCP, CPCM) or corporate governance (e.g., ICSA) is a plus

Strong organizational skills and the ability to handle and prioritize numerous tasks simultaneously.

Ability to recognize contractual challenges and draft solutions that balance protecting the business and meeting the customers’ needs.

Ability to perform detail-oriented work with high accuracy and completeness.

Experience with corporate governance, contract management databases, and MS CRM is preferred.

This role works closely with the COO, VP of Sales, and Regional Sales Managers. It requires an excellent customer service support ethic and the ability to gain the trust and confidence of internal clients.

Ability to adhere to established policies and procedures and to interpret and comply with legal and regulatory requirements.

Ability to independently research legal issues and liaise with external legal counsel as required.

Ability to work independently.Experience:

4+ years of experience drafting, editing, managing and negotiating commercial contracts, preferably in an industrial setting.

Computer expertise (Word, Outlook, PowerPoint).

Excellent drafting, editing, and proofreading skills. Benefits:
