Join CSL’s Company Secretarial Team and play a critical role in supporting CSL’s Board of Directors and CSL’s corporate governance activities through managing the logistics and operations of the team. Your Role
Reporting to the Deputy Company Secretary responsibilities will include event management for CSL’s Annual General Meeting of Shareholders (AGM), annual reporting processes, maintenance of governance systems and documentation and financial management.
This role is key in supporting compliance with regulatory requirements and supports the efficient operation of governance-related systems and stakeholder communications.
As part of CSL’s Company Secretarial Team your responsibilities will include:
Board and Board Committees
Lodging and preparation of ASX forms & announcements
Supporting the appointment of new Board members including document preparation, and preparing and coordinating induction programs
Working with the EA to the Board of Directors in managing information flow to the Board of Directors (including loading Board and Committee papers) and coordinating Board travel and logistics for Board meetings in Australia both domestic and International
Managing the Board Payroll, domestic & US and Board expense management
AGM and Annual Reporting Coordination
Event management of the AGM, including liaising with third-party vendors (venue, webcaster, design agency, staging company, autocue operator)
Manage internal coordination for shareholder meetings and AGM preparation
Oversee the development and distribution of the Annual Reporting suite, including liaising with external agencies and internal content managers
Arrange printing and distribution of annual reports
Manage verification processes for Annual Reports and Corporate Governance Statements using Atticus, including training, contracts, and tech support.
Governance Systems and Documentation
Maintain governance documentation including Board profiles, independence tables, material interests tables, and Board matrices in Diligent Entities
Update governance documents and external-facing policies on CSL.com, including design approvals and asset posting
Liaise with Computershare regarding Notice of Meeting materials and AGM requirements.
Manage contracts in Companion and purchase orders in Ariba
Share Registry
Day to day management of CSL’s Share Registry provider
Oversight of shareholder communications throughout the year
Systems Management and Support
A key member of the team ensuring compliance with ASX and ASIC reporting requirements for CSL Limited
Budget and Financial Coordination
Prepare and manage governance-related budgets and forecasting, including tracking spend, processing invoices, and liaising with vendors and accounts payable.
Your skills & Experience
Experience working within a Global ASX listed organisation
Strong experience in Annual Report Coordination
Ability to coordinate high-level meetings, AGMs and reporting processes
Administrative experience in a legal or governance setting
Confident in managing multiple stakeholders in co-ordinating activities
Ability to manage multiple priorities, work autonomously and manage key deadlines
Experience with governance systems such as Diligent Entities, Atticus, Companion, and Ariba
High attention to detail, strong analytical and problem-solving skills
Strong proficiency in Microsoft Office Suite and Adobe Acrobat
