Senior Public Company and Governance Associate Attorney

Location: San Diego, CA (Hybrid)

Experience Level: Minimum 5 years

Compensation Range: $365,000 – $435,000, plus comprehensive benefits

Overview:

Direct Counsel is seeking a Senior Public Company and Governance Associate to join a leading global law firm with a strong focus on life sciences, technology, and digital asset verticals. This is a unique opportunity for a mid- to senior-level attorney to support a nationally recognized capital markets and public company advisory practice based in San Diego.

Responsibilities Include:

Advising public companies on reporting and compliance under the Securities Act of 1933 and Securities Exchange Act of 1934

Supporting capital markets transactions

Preparing periodic reports, proxy statements, and Section 13 and 16 filings

Providing corporate governance advice and working closely with public company clients

Collaborating with a dynamic team of attorneys across the firm's national platform

Qualifications:

J.D. from an accredited law school

Active California bar license

Minimum 5 years of capital markets and public company experience

Experience representing large cap and mid cap public companies

Strong knowledge of SEC reporting requirements and stock exchange governance rules (Nasdaq, NYSE)

Prior experience at an AmLaw 100 firm preferred
