Description
The Associate General Counsel (AGC) will be an integral part of a small in-house legal team navigating a complex web of commercial matters and government contracting regulations. The AGC will work on large and small matters requiring impeccable judgment, intellectual curiosity, a proactive mindset, and the ability to collaborate cross-functionally. The GC will provide legal support to internal stakeholders at all levels, support innovative organizational initiatives, and help identify and mitigate legal risks. This role will work closely under the supervision of the General Counsel. This position is a full-time generalist role requiring agility and adaptability to provide sound legal advice, actionable guidance and support for virtually every aspect of the business. This role requires strong collaboration and the ability to manage assigned projects effectively in a dynamic, fast-paced environment.
Essential Duties and Responsibilities
Under the supervision of the General Counsel, serve as a key legal point of contact to BioMADE's business teams and work closely with internal stakeholders to assist with drafting, reviewing and negotiating a wide variety of commercial agreements, including those related to employment, licensing, independent contractors, vendor relationships, construction and technology.
Support the General Counsell in advising the business on transactions, corporate structure and entity management (including intercompany agreements), and corporate governance.
Assist in identifying and assessing legal risks, proactively supporting the development and implementation of strategies to mitigate potential issues.
Collaborate with the General Counsel on legal strategy, risk management, and engagement with outside counsel and consultants. Help maintain and improve contract processes, policies, procedures and templates to allow our team to scale.
Develop and deliver legal compliance training programs. As assigned, support litigation matters by assisting with discovery, legal research, and coordination with outside counsel.
Assist in internal investigations and responses to regulatory inquiries as needed.
Perform special projects and other legal responsibilities as assigned to meet BioMADE's business needs.

J.D. degree from ABA-approved law school, strong academic credentials, and membership in at least one state bar.
8+ years of legal experience as a transactional or corporate lawyer, which can consist of a combination of work at a major law firm or in-house legal department (in-house biotechnology, chemical or advanced manufacturing sectors preferred, but not required).
Proven experience managing internal and outside resources, including but not limited to teams of attorneys, contract professionals, and paralegals, to ensure the efficient delivery of legal solutions while providing mentorship and guidance and fostering a culture of collaboration, high performance, and continuous improvement.
Creative problem solver who is collaborative, possesses sound business judgment, is detail-oriented, and a self-starter.
Outstanding negotiating and writing skills, with a strong ability to draft and review legal documents, analyze complex issues, and provide practical, business-oriented solutions.
Ability to demonstrate sound judgment even in ambiguous situations.
Must have high integrity, ability to assess risk, ability to make decisions and think strategically while applying knowledge of applicable legal issues.
Ability to work independently while being able to contribute successfully to cross-functional teams.
Excellent organizational skills, ability to independently identify and prioritize multiple projects, manage workflow, and complete projects under time constraints.
Demonstrated ability to quickly learn new technologies.
Must possess strong written and oral communication skills.
