The full salary range for this position is designed to provide employees with the opportunity to progress and grow within their positions and reflects the competitive market value for these positions across the national market.
GBLI, also offers a total compensation plan including bonuses for all positions.
Typical annualized starting salary range for this position: $165,000 to $275,000 Essential Duties & Functions * Contributes to leading mergers, acquisitions, and other corporate transactions, closely coordinating with internal stakeholders and overseeing outside counsel * Advises the SVP, Senior Counsel on best practices in corporate governance, ensuring compliance with corporate governance guidelines and stock exchange regulations * Closely collaborates with the Finance function in the preparation and filing of all SEC-required documents, including annual reports (10-K), quarterly reports (10-Q), annual proxy statements, current reports (8-K), and Section 16 filings, ensuring timely and accurate submissions to the SEC * Develops and implements policies and procedures to ensure compliance with corporate governance and securities regulations, regularly updating these policies to reflect changes in laws and regulations * Contributes to preparation and workstreams relating to Board of Directors and committee meetings * Assists in investor relations efforts, including manages shareholder communications and ensures compliance with securities laws regarding shareholder meetings * Identifies potential legal risks related to corporate governance and SEC compliance, developing strategies to mitigate these risks and ensure the company's ongoing legal compliance * Drafts and reviews legal documents related to corporate governance and securities compliance, ensuring accuracy and compliance with relevant laws and regulations * Collaborates with and oversees external legal counsel on complex legal matters, seeking expert advice and ensuring alignment with the company's business strategy * Monitors changes in securities laws and regulations and advises the company on necessary adjustments to policies and practices * Conducts training sessions for employees on corporate governance and securities law compliance, keeping the company informed of new legal developments and their implications * Supports internal audits and investigations related to corporate governance and securities compliance Qualifications * JD degree from an accredited law school * Admission to the bar in at least one state * Minimum of 7 years of experience in corporate law, with a focus on mergers & acquisitions transactions, public company representation, securities regulations and corporate governance * Experience working in the insurance industry is preferred * MBA preferred but not required * Corporate Mergers & Acquisitions: Significant experience in corporate transactional practice, particularly in public company setting * Knowledge of entity formation and corporate tax considerations in respect thereof * Corporate Governance Knowledge: Strong understanding of corporate governance principles, including board structure, director responsibilities, and shareholder rights * Securities Law Knowledge: In-depth knowledge of federal securities laws, including the Securities Act of 1933 and the Securities Exchange Act of 1934 * Familiarity with stock exchange requirements and principles * Analytical and Problem-Solving Skills: Excellent analytical and problem-solving skills to identify legal risks and develop effective strategies for compliance * Communication Skills: Strong written and verbal communication skills to effectively advise and train executives, directors, and employees * Attention to Detail: Meticulous attention to detail to ensure accuracy in drafting, including SEC and other regulatory filings * Relationship Building: Ability to build and maintain strong relationships with internal and external stakeholders, including board members, senior executives and functional leaders * Interest in exploring utilization and adoption of legal function technology * Knowledge of Property and Casualty Insurance: Understanding of the insurance industry and its regulatory environment
