Direct Counsel is representing a nationally respected AmLaw 100 firm in its search for a mid-level Capital Markets & Securities Associate (3–5 years of experience) to join the firm’s Business Group. The successful candidate will work alongside a collaborative, cross-office team supporting regional and national clients within the firm's Capital Markets, Securities, and Corporate Governance practice.Key Qualifications:

3–5 years of experience practicing in capital markets and securities law

Knowledge of federal securities laws, SEC rules and regulations, and public company listing standards

Experience with public offerings (Forms S-1, S-3, S-4) and private placements

Proficient in preparing and reviewing:

SEC filings: Forms 8-K, 10-Q, 10-K

Registration statements, Section 16 filings, 10b5-1 trading plans

Annual proxy statements and other governance-related materials

Experience supporting corporate governance compliance, including:

Maintaining board and committee charters, insider trading policies, and board meeting materials

Assisting with annual shareholder meeting mechanics

Ability to provide securities support for M&A, strategic investments, and corporate transactions

Excellent legal writing, attention to detail, and communication skills

Must be admitted to practice in the state where the candidate residesIdeal Candidate Profile:
