Director of Contracts

Optimal Solutions & Technologies (OST, Inc.) has an immediate need for a Director of Contracts to lead its Contracts function. To be considered for this role, the candidate will have demonstrated high competence in Civilian and DoD contracting, as well as state contracting, and deep knowledge and experience with Federal Acquisitions Regulations (FAR) and Defense Federal Acquisitions Regulations (DFAR). The Director of Contracts will report to the Chief Financial Officer. While the work location for this role is generally remote, an ability and willingness to work 2 or more days in OST's office in Tysons Corner, VA may be required.

Description:

Provide full contract lifecycle support including handling multiple bid opportunities, contributing to proposals and narratives, analyzing and negotiating awarded contracts, and administering the resultant contracts, task orders, and modifications

Work with subcontractors to solicit proposals, negotiate subcontract terms, and administer the subcontracts

Draft and negotiate Teaming Agreements, Non-Disclosure Agreements, Consultant /Agent Agreements, and similar partner documents

Work closely with OST Program Managers to review contractual terms and conditions for their acceptability, provide alternate terms and conditions as needed to mitigate program performance risks, and ensure adherence to contract requirements (CDRLs, SOW)

Conduct contract strategy meetings to identify issues and client requirements, facilitate discussions, and obtain senior management input on timelines and deliverables

Ensure compliance with contractual requirements within the delivery teams and provide guidance on contractual issues

Give accurate and timely counsel to executives in a variety of legal matters (e.g. labor law, joint ventures, corporate law and structures), contractual rights and commitments, and interpretation of contract terms and conditions

Develop internal governance policies and compliance monitoring, assist in planning and scheduling contract and regulatory compliance activities, including internal and external reviews and audits (e.g., GSA, DCAA and other independent agencies).

Required Skills

Ability to interact with internal and external customers on significant matters often requiring the coordination and collaboration of activities across organizational lines

Skilled in briefing C-suite and executives on complex or controversial topics

Comfortable in a fast-paced, high-volume contracting environment

Experienced in training Contracts team members and all levels of the company

Demonstrates exemplary attention to detail and research skills

Demonstrates proven ability to initiate and successfully implement new ideas that increase organizational efficiency and support business objectives

Excellent knowledge and understanding of corporate law and procedures

Capable of working efficiently, independently, and in group collaboration settings on short- and long-term goals

Maintains and fosters a highly ethical standard of practice

Education and Experience

BA/BS Degree with 15+ years of experience in US Government contracting

Acted as Contracts lead (preferably at the corporate level) at a large ($200M+) professional services government contractor

JD Degree, Certified Federal Contract Manager (CFCM) highly desired

Working experience with DoD, DHS preferred; experience with state governments a plus

Proven experience as a legal counsel in a government contracting business environment a plus

Thorough working knowledge of the FAR, DFARS and other supplements
