We are seeking a highly skilled and experienced Senior Legal Counsel (m/f/diverse) with expertise in Mergers & Acquisitions to join our dynamic legal team in Hannover, Germany. As a key member of our Law Department, you will provide legal advice in strategic projects and transactions involving the acquisition and divestiture of companies and/or business, the establishment and separation of joint ventures and minority participations in particular:

Advising in evaluation phase such as preliminary feasibility study of the transaction, carve out concept, transaction structure, and on documentation, such as NDAs, release letters, engagement agreements, process letters, (non-binding) indicative offers, defense agreements, market studies for merger control purposes, LoI/MoU, binding and non-binding indicative offers.

Manage legal DD and external counsel during the entire project

Preparation of transaction agreement(s), ensuring internal alignment on the content of the agreement and leading negotiation of such agreements, including the negotiation of agreements in start-up financing rounds

Advising on regulatory issues, restrictions on an acquisition, appropriate transaction structure;

Assisting (a) in the signing and closing process of a transaction, including obtaining merger control clearance(s), foreign direct investment and/or any other regulatory approvals, (b) in obtaining internal approvals, (c) satisfying or review satisfaction of other conditions for closing, (d) in determination of, agreement w/respect to, final purchase price after closing; (e) in following up and ensuring the fulfillment of obligations arising out of the main transaction documents, including covenants

Provide legal opinion(s)

Develop rules of conduct for transition period between signing and closing, assist in their implementation

Advising in post-merger activities.

Selection, retention of and management of external counsel and of external legal budget

Applications from severely disabled people are welcome.

Fully qualified lawyer (m/f/diverse) with bar admission

Experience as a fully qualified lawyer in a law firm, corporation, or both

Several years of professional experience, including experience in Corporate / M&A

Several years of leadership experience

Project management skills

Proficiency in German is required. Excellent command of English is essential. Additional language skills are an advantage

High ownership, motivation and commitment

Strong verbal and written communication skills. Ability to convey complex matters clearly and professionally

Strong negotiation skills and business understanding

Strong intercultural competence

Strong team player with willingness and ability to work in an international environment

Ability and willingness to travel when required
