Midlevel EC/VC Corporate Associate

Century City, Los Angeles, or Newport Beach, CA (Portland, OR Considered)

$310,000 - $390,000 + Bonus & Benefits

Direct Counsel is seeking a Midlevel Corporate Associate with 4-6 years of experience in Emerging Companies & Venture Capital (EC/VC) to join a prestigious law firm’s Southern California offices (Century City, Los Angeles, or Newport Beach). This role offers the opportunity to advise startups, venture capital investors, and high-growth companies through all stages of their business lifecycle.Key Responsibilities

Advise emerging companies and venture capital investors on corporate and transactional matters.

Draft and negotiate venture capital financing documents, including term sheets, convertible notes, and NVCA financing agreements.

Counsel clients on corporate governance matters, including board and shareholder issues.

Support clients in M&A, joint ventures, and strategic transactions.

Conduct due diligence and assist with transactional closings.

Serve as outside corporate counsel to early- and late-stage private companies.

Manage client relationships and coordinate with outside counsel.Qualifications

J.D. from an accredited law school.

Admission to the California Bar.

4-6 years of corporate law experience, with significant focus on EC/VC transactions.

Strong drafting, negotiation, and analytical skills.

Experience managing multiple transactions in a fast-paced, high-growth environment.

Entrepreneurial mindset and ability to work both independently and collaboratively.Compensation & Benefits

Base Salary: $310,000 - $390,000, based on experience.
