Catalent Pharma Solutions is seeking a highly skilled and experienced IP Counsel to join our legal team. The Senior Assistant General Counsel – IP will be a key member of the Legal & Compliance Department, reporting to Associate General Counsel (Corporate and IP), and responsible for managing and protecting all aspects of Catalent’s intellectual property portfolio, including patents, trademarks, and trade secrets, and ensuring compliance with relevant laws and regulations.
Additionally, the Senior Assistant General Counsel – IP will liaise as needed with each of Catalent’s business units and functions to support with IP issues, and serve as partner to our commercial groups, providing advice on and assistance with negotiating and documenting the intellectual property aspects of all commercial relationships and mergers and acquisition matters.

The Role:
Develop and implement strategies to protect and enhance the company’s intellectual property assets
Draft, review, and negotiate IP-related agreements, including licensing agreements,
confidentiality agreements, collaboration and joint development agreements, as well as support with the structuring and negotiating the intellectual property sections in the manufacturing, packaging, development, purchase, supply, license, and master service agreements
Advise business unit personnel with respect to intellectual property policies and issues, including validity, infringement, “ethical walls,” and inventorship
Oversee the preparation, filing, and prosecution of patent applications; manage patent portfolios and coordinate with external patent counsel
Handle trademark clearance, registration, and enforcement; manage trademark portfolios and coordinate with external trademark counsel
Provide, and work with external counsel on advice concerning freedom to operate, validity, infringement, enforceability, and related matters
Oversee intellectual property litigation as needed; assist in merger and acquisition activity
Review and revise external communications on all commercial matters and scientific publications from an IP perspective
10% global travel expectations annually

The Candidate:
Juris Doctor (JD) degree from an accredited law school, required
Minimum 6+ years of intellectual property experience with a well-established law firm and/or corporate legal department, with a focus on pharmaceutical, biotechnology, or other regulated industry legal matters
Admission to practice in the appropriate New York, New Jersey, or Pennsylvania ( in-house admission is acceptable), required
Fluency in French, German, Italian, Portuguese or Spanish, preferred
Individual may be required to sit, stand, walk regularly and occasionally lift 0-15 pounds
