Hanwha Philly Shipyard is seeking an experienced and highly skilled Assistant General Counsel to work directly with the General Counsel. In this role, you will provide guidance and support on a wide range of legal matters across the organization, including corporate governance, regulatory compliance, labor and employment, contracts, and litigation. The Assistant General Counsel will advise business colleagues on legal issues and risks, review and prepare commercial contracts, oversee legal disputes and claims, and develop and implement company policies and procedures.
The Assistant General Counsel should be a practical, business-savvy lawyer who can proactively manage the legal affairs of the Company using sound judgment. The ideal candidate must be a highly motivated and confident self-starter, who can prioritize and lead multiple tasks independently and efficiently under deadline pressure. The lawyer in this role is required to be adept at handling sophisticated legal projects, matters, and issues and should have excellent technical legal skills and expertise.
ESSENTIAL FUNCTIONS To perform this job successfully, an individual must be able to perform each essential duty satisfactorily. The requirements listed below are representative of knowledge, skill, and/or ability required.
Review, draft and negotiate a broad range of commercial contracts, including customer sales, supply, non-disclosure, procurement, real estate, employment and consulting agreements
Serve as a generalist advising business leaders on commercial, finance, litigation, labor and employment, regulatory compliance, and other matters
Collaborate with various business units to identify and address legal risks
Provide counsel regarding compliance with applicable laws and regulations
Advise on all aspects of day-to-day legal issues
Manage contractual disputes and claims
Support litigation, arbitration, and other dispute resolution matters
Assist with development and implementation of company policies and procedures
Support M&A and other business development activities
Manage and supervise outside counsel effectively and efficiently, including with respect to litigation matters
Assist with preparation of board materials and other corporate governance activity
Advise on transactional matters and strategic initiatives
Support the General Counsel on all other matters
Strive to ensure safe working conditions for our workforce

This position does not currently have any supervisory responsibilities.
EDUCATION AND EXPERIENCE
J.D. degree from an accredited law school and an active bar membership in at least one US jurisdiction required
Excellent undergraduate and law school academic credentials
A minimum of 5-7 years of experience as a practicing lawyer, preferably with several years spent in a large law firm setting
Significant experience advising businesses on commercial matters
Experience in government contracting is a plus
Experience working in or with maritime, manufacturing, or shipbuilding industries is a plus
WORK ENVIRONMENT
Although most of this work is indoors in a climate-controlled office environment, some incidents may require this individual to be exposed to environmental exposures similar to those found in most heavy industrial settings and may include noise, heat, cold, vibration, dust, fumes and smoke. The work environment characteristics described here are representative of those an employee encounters while performing the essential functions of this job.
