Private Fund Associate (3rd–5th Year)

Location: Boston, New York, Washington, D.C.

Compensation: $365,000 – $435,000 per year, based on experience

Direct Counsel is representing an Am Law 100 firm seeking a Private Fund Associate (3rd–5th year) with extensive experience advising both established and emerging sponsors of private funds. The ideal candidate will have a strong focus on private fund formation and the ongoing operational and regulatory issues that arise in managing private funds. Significant experience advising on the general partner (GP) side is required.

Key Responsibilities:

Advise clients on the formation, structuring, and management of private investment funds

Draft and negotiate limited partnership agreements, side letters, private placement memoranda, and related fund documentation

Address ongoing regulatory and operational matters, including compliance, investor communications, and fund governance

Provide strategic counsel to GP clients on fundraising and investment activities

Support clients across various asset classes and fund strategies

Collaborate with internal teams and contribute to high-level client strategy

Qualifications:

3–5 years of experience focused on private fund matters at a top-tier law firm

Deep experience advising general partners (GPs) on fund formation and management

Excellent academic credentials from a top law school

Strong drafting, negotiation, and client advisory skills

Self-starter with the ability to manage complex workstreams independently and collaboratively

Admission to the Bar in good standing
