Fund Formation Associate Attorney (3–5 Years)

Locations: Palo Alto, San Francisco, or New York

Compensation: $260,000–$365,000 (dependent on experience and location)

Direct Counsel is seeking a Fund Formation Associate Attorney to join a prestigious national law firm with a robust private investment funds practice. This is a great opportunity for a mid-level associate looking to grow within a highly regarded team advising top-tier fund sponsors and institutional investors.

Key Responsibilities:

Represent sponsors and investors in private investment fund formations

Handle sponsor-level transactions involving general partner and management company entities

Advise on secondary transactions, including transfers of limited partner interests and portfolio company interests

Collaborate with cross-office teams on a range of sophisticated private equity, venture capital, and other alternative asset fund matters

Ideal Candidate:

3–5 years of relevant experience in a major law firm setting

Strong background in fund formation, LP/GP structuring, and private capital transactions

High academic achievement from a nationally recognized law school

Admitted to practice in California or New York, depending on location preference

Locations:

This position is open to candidates in Palo Alto, San Francisco, or New York and requires in-office presence consistent with firm policy.
