Corporate Associate Los Angeles
A highly regarded law firm is seeking a skilled Corporate Associate with 34 years of experience to join its dynamic Corporate Practice in Los Angeles. This position offers a unique opportunity to work closely with senior attorneys on sophisticated business transactions across a broad spectrum of industries and clients nationwide.
Ideal Candidate Profile:
Deep knowledge of federal securities laws, rules, and regulations.
Proven experience handling a broad range of corporate transactions, including:
Private offerings of equity securities
Mergers and acquisitions
Joint ventures
General corporate governance and advisory matters
Experience that will make a candidate stand out includes:
Representing venture capital, growth equity, or private equity firms in fund formations and ongoing operational and regulatory matters.
Familiarity with regulatory frameworks, including the Investment Company Act, Investment Advisers Act, and the Securities Act.
Fund formation experience, particularly with LLC and LP structures, and drafting associated documentation.
Strong ability to analyze complex corporate structures and provide practical solutions.
Exceptional communication skills, both written and verbal, for client interaction and drafting of transactional documents.
Ability to work collaboratively on team-driven deals while managing independent responsibilities.
Demonstrated dedication to client service and high professional standards.
Experience at a major law firm is preferred.
Strong academic credentials and admission to the State Bar of California are required.
Compensation:
The anticipated base salary range for this full-time role is $225,000 to $250,000 per year.
Actual salary will depend upon several factors, including, but not limited to, relevant experience, job-related skills, and qualifications.
