Job Title: Tax Associate – Energy & Infrastructure

Locations: Washington, D.C. New York, NY

Direct Counsel is representing an AmLaw 100 law firm seeking a Tax Associate to join its Energy & Infrastructure practice group in Washington, D.C. or New York. The firm advises leading clients on high-impact transactions across the U.S. power and energy transition sectors. This position focuses on federal tax issues related to renewable energy, infrastructure projects, and energy-related M&A.Key Responsibilities

Advise on renewable energy tax credits (including ITC, PTC, and 45Q) for projects such as wind, solar, and carbon capture.

Structure and negotiate tax equity financing transactions for both sponsors and investors.

Draft and review tax-related provisions in partnership agreements, credit agreements, and transactional documents.

Provide tax counsel for energy sector M&A, including asset and stock acquisitions, divestitures, and joint ventures.

Interpret and apply partnership tax rules and other federal tax regulations relevant to energy and infrastructure transactions.

Collaborate with cross-practice teams including project finance, corporate, and regulatory lawyers.Qualifications

Juris Doctor (JD) from an accredited law school.

Licensed to practice law in Washington, D.C., New York, or eligible for admission.

Minimum 3 years of experience in federal income tax law with a focus on energy and infrastructure projects.

Strong background in renewable energy transactions, tax equity structures, and partnership taxation.

Experience advising clients in the U.S. power sector and familiarity with the evolving energy transition regulatory landscape.

Additional experience in general M&A tax matters is highly desirable.

Excellent legal research, drafting, and analytical skills.
