Job Summary/Company:
Sparks Group has partnered with an innovative outcomes agency to identify a Commercial Contracts Counsel to lead, execute, and manage the drafting, negotiation, and review of all commercial contracts. This is a remote, contract to hire opportunity, available to candidates living in DC, MD, VA. NC, GA, FL, TX, and OH.
Responsibilities:
Overview. Your day will include applying best practices to developing, drafting, analyzing, reviewing and negotiating a wide range of commercial contracts for various types of service engagements in the marketing and digital advertising domain in compliance with company policy and applicable law. You will counsel internal business partners regarding contract terms
Contract Drafting and Review. You will draft and review agreements like MSAs, SOW,s sponsorship agreements, NDAs, licensing agreements, production agreements, DPAs and more.
Contract Management. You will manage the lifecycle of contracts including negotiation of legal terms, RFPs, client onboarding and off-boarding in a face-paced technology focused environment.
Commercial Risk/Compliance. Ensure the identification of opportunities to minimize contract risk and coordinate commercial risk mitigation measures. You will support the maturation and expansion of our corporate compliance infrastructure, including the evolution of company policies and programs and their alignment to organizational controls
Data Privacy and Information Security/Compliance. You will support our strategic initiatives through liaising with data privacy counsel to develop contract language as needed to maintain or strengthen compliance with applicable domestic and international data privacy laws and to protect sensitive information.
Partnerships and Products. Prepare risk assessments and deliver briefings to business unit/service line leadership (IT, HR, Legal, and Finance), as required. You will also collaborate with our media and insights teams and data privacy counsel to identify potential legal risks, critically analyze complicated data flows, and provide risk-mitigation counseling on ad tech products. Educate stakeholders on our policies, legal processes, and negotiate playbook, and communicate issues concerning contract and compliance risks.
Additional Projects. You will support other projects as needed. For example, to provide assistance with M&A transactions, and to build out and support a Contracts Lifecycle Management (CLM) software to facilitate contract workstreams. Assist in management and maintenance of BPI’s standard terms, templates, contract tracker, and processes with the goal of minimizing friction and mitigating risks.
Qualifications/Background Profile:
Minimum of 4-5 years of overall legal experience
Juris Doctor degree from an ABA-accredited law school and membership in good standing in at least one US state bar
Hands-on experience reviewing and negotiating a variety of contracts at a fast-paced technology company, advertising agency, or legal practice (in-house experience preferred)
Knowledge of US and EU data privacy laws (e.g., GDPR and CCPA/CPRA)
Knowledge of intellectual property laws, including production and licensing agreements.
Expert proficiency in drafting contract language without the assistance of content management tools and/or software
Familiarity with both B2B and B2C aspects of the media marketing and communications, including a good understanding of what and how various advertising technologies are used, including AI technologies
A passion for technology and ability to understand complex technology and product use cases quickly
Ability to communicate complex legal concepts to business and leadership
Ability to communicate via telecommunication and video calls (phone calls, IMs, emails) as well as in person
Professional demeanor and judgment
Adaptability and ability to respond to direction as needed
Strong ethics, integrity, and values including ability to maintain confidentiality with respect to agreement contents and other highly sensitive business matters and projects required
Ability to adapt to changes, delays, or unexpected shifts in priorities while maintaining focus and productivity in a high-volume environment required
Ability to prioritize and complete daily workload and projects with minimal supervision and in accordance with deadlines and shifting priorities
This job is Fully Remote.
Pay Range: Salary $120,000.00 to $160,000.00
