Job Title: Corporate Governance Paralegal – Regulatory & Legal Affairs

This is an 11-week contract (possible extension or direct hire for the right candidate) with a pay rate of $34.15.

Location: 100% Remote – Applicants must reside in one of the following states:

AZ, CA, FL, GA, ID, IA, KY, MI, NE, NM, NV, NY (outside greater NYC), OH, TX, UT, WA (outside greater Seattle), WI

Position Summary:

We are seeking an experienced Corporate Governance Paralegal to join our Legal Affairs Department. This role focuses on supporting corporate governance and regulatory compliance activities across multiple entities in the healthcare space. The ideal candidate has 5-7 years of paralegal experience, including at least 3 years in corporate governance, preferably within the managed healthcare industry or other highly regulated environments. The successful candidate will provide essential legal and administrative support to ensure compliance with federal and state regulatory requirements, assist with entity management, and maintain corporate records and filings.

Key Responsibilities:

Draft, prepare, and file a broad range of regulatory and corporate governance documents with state and federal agencies.

Support the preparation and filing of entity formation, foreign qualifications, name reservations, amendments, dissolutions, and conversions.

Assist with maintenance and tracking of corporate governance records including bylaws, operating agreements, board/shareholder consents, resolutions, and meeting minutes.

Maintain and update corporate entity databases and organizational charts (subsidiaries, officers and directors, licenses, intercompany agreements).

Research applicable statutes and regulations across jurisdictions, particularly relating to HMOs, LLCs, corporations, and holding companies.

Assist with preparation of holding company filings, license renewals, and annual corporate reporting obligations.

Collaborate with Compliance and Regulatory Affairs teams to ensure timely and accurate filings.

Provide legal support for business development efforts including M&A activity and proposals.

Support the maintenance and protection of intellectual property (trademarks, logos), coordinating with external counsel and internal stakeholders.

Assist with regulatory audits, examinations, and correspondence with state insurance departments.

Manage remote notarizations and coordinate with in-house notaries.

Organize and maintain legal documents and filings in electronic document management systems (iManage or similar).

Retrieve archived materials and assist with records management.

Qualifications:

Must Have:

5–7 years of paralegal experience, including 3+ years with corporate governance responsibilities.

Experience in managed healthcare, insurance, or other regulated industries is strongly preferred.

Proficiency with Microsoft Office (Word, Excel, Outlook, Teams), document management systems (preferably iManage), Westlaw, Edge/Chrome, and SharePoint.

Strong understanding of corporate legal structures and governance requirements, including NAIC regulations and state insurance department procedures.

Outstanding organizational skills, attention to detail, and ability to manage high-volume workloads.

Clear and professional communication style, both written and verbal.

Collaborative, accountable, and dependable team player.

Preferred Experience:

Experience supporting compliance teams in regulatory reporting and filings.

Multistate regulatory knowledge including Medicare, Medicaid, and Marketplace experience.

Knowledge of healthcare law and interest in staying current with regulatory trends.

Required Education/Licensure:

Associate’s Degree, Paralegal Certificate, or equivalent required.
