Position: Fund Formation Attorney (Principal)

Location: Seattle, WA; Spokane, WA; Portland, OR; Washington, D.C.; New York, NY

Type: Full-Time

Experience Level: Partner (7+ years)

Direct Counsel is seeking a Fund Formation Attorney to join the Business Practice team of a reputable law firm. This partner-level role offers the opportunity to represent top investment firms and fund sponsors, focusing on the formation of private equity, venture capital, real estate, and other investment funds.

Key Responsibilities

Manage the formation of private investment funds, including drafting and negotiating fund documentation

Advise on fund structuring, regulatory compliance, and governance issues

Provide ongoing counseling on SEC regulations, fiduciary duties, and compliance with securities laws

Draft transactional documents for fund-related investments and collaborate on multidisciplinary transactions

Support mergers, acquisitions, and joint ventures involving fund clients

Participate in client pitches and business development activities

Qualifications

JD from an ABA-accredited law school and license to practice law

7+ years of experience in fund formation, structuring, and capital raising, with expertise in private equity, real estate, and venture capital

Established book of business required

Strong academic background with superior analytical and writing skills

Client-centered approach with exceptional communication skills

Ability to work both independently and collaboratively within a diverse team

Compensation & Benefits

Salary Range: $200,000 - $325,000 annually (based on experience and location)
