The Opportunity: Rugiet Men's Health is seeking a highly motivated and experienced Associate General Counsel to join our dynamic legal team. This is a critical role that will provide comprehensive legal support and guidance across various aspects of our fast-paced and evolving business. The ideal candidate will possess a strong understanding of healthcare law, regulatory compliance, and general corporate matters, with a proven ability to provide practical, business-oriented legal advice.

Key Responsibilities:

Regulatory Compliance: Advise on and ensure compliance with all applicable federal and state healthcare laws and regulations, including HIPAA, telehealth regulations, FDA regulations (especially regarding compounded medications), state pharmacy laws, and consumer protection laws.

Contract Drafting & Negotiation: Draft, review, and negotiate a wide range of commercial agreements, including vendor contracts, pharmacy agreements, technology licenses, marketing agreements, and other business-critical contracts.

Corporate Governance: Assist with corporate governance matters, including preparing board materials, maintaining corporate records, and ensuring adherence to internal policies and procedures.

Intellectual Property: Support the protection and management of the company's intellectual property, including trademarks and other proprietary rights.

Privacy & Data Security: Provide guidance on data privacy and security matters, ensuring compliance with relevant laws and best practices.

Legal Research & Analysis: Conduct thorough legal research and provide clear, concise analysis on complex legal issues impacting the company's operations and strategic initiatives.

Risk Management: Identify and assess legal risks, developing proactive solutions and mitigation strategies to safeguard the company's interests.

Cross-Functional Collaboration: Collaborate effectively with internal stakeholders across various departments, including Clinical, Product, Marketing, and Operations, to integrate legal considerations into business decision-making.

Outside Counsel Management: Assist in the management and oversight of outside legal counsel when necessary.

Training: Develop and deliver training to internal teams on relevant legal and compliance topics.

Qualifications:

Juris Doctor (JD) degree from an accredited U.S. law school.

Active membership in good standing with a state bar association (Texas Bar membership or ability to gain admission quickly preferred).

5+ years of relevant legal experience, with a strong preference for in-house experience in a healthcare, telemedicine, or pharmaceutical/compounding pharmacy company.

Demonstrated expertise in healthcare regulatory compliance, including telehealth, HIPAA, and FDA regulations related to compounded medications.

Proven experience in drafting, negotiating, and reviewing complex commercial contracts.

Excellent analytical, problem-solving, and decision-making skills.

Exceptional written and verbal communication skills, with the ability to translate complex legal concepts into practical business advice.

Ability to manage multiple projects simultaneously, prioritize effectively, and thrive in a fast-paced, evolving environment.

Preferred Qualifications:

Experience with consumer protection laws and advertising regulations.

Familiarity with direct-to-consumer business models.

Experience with M&A transactions or other corporate development activities.

Salary Range: $150,000 - $250,000 annually (commensurate with experience and qualifications)
