Mid-Level Capital Markets And Securities Associate Attorney
Job Overview:
A distinguished law firm based in Columbus, OH, is actively seeking a mid-level associate with 3 to 5 years of relevant experience to support its Capital Markets & Securities and Corporate Governance practice. The successful candidate will engage with regional and national clients on a range of securities matters, public and private offerings, and corporate governance initiatives within a dynamic and collaborative team environment.
Duties:
Collaborate with clients on securities filings and offerings, including Forms S-1, S-3, and S-4
Draft and review periodic reports such as Forms 8-K, 10-Q, and 10-K
Prepare Proxy statements, registration statements, Section 16 filings, and 10b5-1 plans
Contribute to the upkeep of governance documentation (eg, committee charters, insider trading policies)
Assist in the preparation of board meeting materials and minutes
Advise on the logistics and legal requirements of annual shareholder meetings
Support mergers, acquisitions, and strategic transactions from a securities compliance perspective
Deliver clear and concise legal writing and oral communications
Manage shifting priorities in a high-volume workflow
Collaborate with professionals across offices as part of an integrated legal team
Requirements:
3-5 years of experience focused on capital markets and corporate governance
Proficient understanding of federal securities regulations and listing requirements
Demonstrated experience with both public and private securities offerings
Capability to advise on SEC compliance and corporate governance
Strong attention to detail and proven organizational skills
Education:
Juris Doctor (JD) from an accredited law school
Certifications:
Licensed and in good standing to practice law in the state of Ohio
Skills:
Exceptional drafting, analytical, and research skills
Ability to work independently while collaborating within a team framework
Strong client communication and project management abilities
