This person shall be responsible for providing corporate secretarial support (with the assistance of subordinate staff) to a portfolio of companies within the group to ensure compliance with the applicable legislative/regulatory/listing requirements and maintenance of standards of corporate governance based on adopted best practices, such that the departmental objective of delivering corporate secretarial services with professionalism and efficiency is met.
Responsibilities:
Compliance
Ensure compliance by companies within the portfolio with applicable statutory/regulatory/ listing requirements, constitution and approved board/corporate governance policies.
Board Advisory
Provide corporate secretarial support and advisory services to companies within the portfolio, especially to the chairmen of the boards and board committees to enable a smooth functioning of board processes.
Corporate Secretarial Support
Instruct team member/subordinate staff in the provision of services for routine and non-routine corporate secretarial matters, or in the absence of subordinate staff, handle directly the routine and non-routine corporate secretarial matters.
Corporate Secretarial Administration
Instruct team members/subordinate staff in the handling of corporate secretarial administrative matters, including the maintenance of up-to-date corporate registers and corporate database relating to the companies within the portfolio, and the collation and management of information (whether for precedent or research purposes) under assigned tasks.
Requirements:
Holder of CSIS (Chartered Secretaries Institute of Singapore) qualification or currently pursuing the qualification and expecting to complete in 2025
Minimum of 5 years experience in corporate secretarial work and preferably with experience in an in-house environment
Have an understanding of board and management dynamics
Ability to manage deadlines effectively
Ability to work effectively both as a leader and a member of a team
Good attention to details
Good written (especially minutes writing) and verbal communication skills
Strong interpersonal skills
Integrity and discretion required for handling confidential information
