DEPARTMENT: Associate General Counsel REPORTS TO: CEO PURPOSE OF THE POSITION: As Associate Counsel, you will play a critical role in supporting the company's strategic legal initiatives while ensuring business practices align with our mission of Thinking Beyond and daring greatly to achieve extraordinary results.

This position is designed for a motivated legal professional who aspires to grow quickly into a General Counsel role, providing key legal guidance on corporate, commercial, and risk management matters.

Working closely with senior leadership, you will navigate complex legal and business challenges with a focus on enabling growth, managing risk, and driving operational excellence.

You will help shape corporate policies, provide counsel on critical transactions, and support a high-performance workforce in making bold, informed decisions that align with the company's objectives.

In this role, you will foster a culture of trust, constructive dialogue, commitment, and accountability, ensuring legal strategies support innovation while safeguarding the company's interests.

By collaborating cross-functionally and engaging with external counsel as needed, you will contribute to creating a legal foundation that empowers the business to turn ambitious goals into reality.

This is an on-site position.

DUTIES AND RESPONSIBILITIES: * Draft, review, and negotiate a wide range of commercial transactions, including customer and distributor contracts, vendor agreements, government contracts, research and development agreements, licensing, M&A and other complex business transactions.

* Assist with the evolution of the Company's Ethics & Compliance program, including developing corporate policies and developing/delivering training.

* Provide legal and business advice and legal services as a member of the senior leadership team.

* Collaborate with senior leadership to anticipate, mitigate and appropriately balance legal and compliance risks while achieving commercial objectives.

* Work closely with external counsel on (i) securities and corporate governance matters, including the Board of Directors' advisory support; (ii) protecting the Company's intellectual property portfolio; and (iii) litigation matters involving the company.

* Provide guidance on real estate, intellectual property and employment law matters.

* Maintain corporate legal records and oversee legal document management.

* Manage outside counsel to ensure cost-effective and high-quality legal support.

SKILLS AND ABILITIES: * Significant corporate legal experience with a variety of commercial transactions, including customer and distributor contracts, vendor agreements, government contracts, licensing, M&A and other complex business transactions.

* Substantive experience with Ethics & Compliance program design and implementation, real estate, intellectual property, litigation, and employment matters.

* With strong business acumen and legal expertise, able to act as an innovative, influential, solutions-oriented partner able to guide clients through legal, compliance, business and strategic risks to achieve commercial objectives while anticipating, properly balancing and mitigating risk.

* Effective communicator and trusted advisor to executive leadership, with high ethical standards and integrity.

* Ability to work collaboratively across teams and to build strong internal partnerships.

* Exhibits excellent judgment and analytical skills.

* Projects an executive presence, including excellent interpersonal and communication skills, political savvy, tact and the ability to effectively modulate his/her approach to different groups and individuals.

* Comfortable operating in a fast-paced, high-growth environment with an entrepreneurial mindset.

* Has a focus on efficiency and adding value as a business partner.

EDUCATION AND EXPERIENCE: * J.D.

from an ABA-accredited law school and active U.S.

bar admission.

* 3-5+ years of corporate legal experience, ideally including time in a publicly held company or a law firm supporting publicly traded clients.

The pay range for this position is $150,000 - 250,000 per year.
