Corporate Associate – Funds & Investment Management (3+ Years) Boulder, Denver, or Reno
Our client, a leading full-service law firm, is seeking a Corporate Associate with 3+ years of experience to join their Funds & Investment Management team in Boulder, Denver, or Reno. This is an excellent opportunity to work with alternative investment funds, advising sponsors and institutional investors on fund structuring, regulatory matters, and ongoing management.

Key Responsibilities:
Advise clients on the structuring, formation, and management of alternative investment funds
Work with sponsors and institutional investors across various fund types, including:
Venture capital & private equity funds
Real estate & low-income housing funds
Hedge funds & secondary transactions
Non-traditional investment vehicles (e.g., feeder and access funds)
Draft and negotiate fund formation documents, including limited partnership and limited liability company agreements
Advise on U.S. federal and state securities regulations (Investment Advisers Act, Investment Company Act, Blue Sky laws)
Provide legal guidance on fund governance, compliance, investment structures, and fund-related transactions
Represent institutional investors in private investment fund negotiations
Qualifications:
Juris Doctor (JD) from an ABA-accredited law school
3+ years of experience in fund formation, investment management, or corporate transactions
Experience in fund structuring, limited partnership agreements, and regulatory compliance
Knowledge of U.S. securities laws, including Investment Advisers Act & Investment Company Act
Strong drafting, analytical, and client-facing skills
Ability to work independently and as part of a collaborative team
Compensation & Work Expectations:
Base salary range: $200,000 - $265,000 (compensation based on experience, performance, and market factors)
Billable expectation: 1800 hours, plus:
75 hours of pro bono/public service work (or 50 hours of pro bono legal work)
25 hours dedicated to diversity, equity, and inclusion efforts
