About Etched

Etched is building AI chips that are hard-coded for individual model architectures. Our first product (Sohu) only supports transformers, but has an order of magnitude more throughput and lower latency than a B200. With Etched ASICs, you can build products that would be impossible with GPUs, like real-time video generation models and extremely deep & parallel chain-of-thought reasoning agents.

Job Summary

Etched is looking for a Senior Paralegal with deep expertise in private company and public company corporate governance, equity management, and legal operations to join our lean, high-impact legal team. This is a critical role that blends precision, discretion, and ownership in a high-growth semiconductor company working at the edge of compute and AI.

You’ll be the go-to legal resource for entity management, equity workflows, and transactional support as we scale operations, close financings, and grow globally. You thrive in ambiguity, move fast without sacrificing accuracy, and bring a “first principles” mindset to building legal infrastructure that lasts.

Key responsibilities

Corporate Governance & Entity Management

Manage and maintain corporate records, minute books, binders, and capitalization documentation across domestic and international entities

Prepare board and stockholder consents, maintain officer/director rosters, and support board meeting logistics

Ensure all corporate filings, qualifications, and compliance documents are filed and maintained accurately and on time

Equity Administration

Administer stock option grants, exercises, and related activities in Carta (or equivalent), working closely with People Ops and Finance

Support equity-related diligence, 409A valuations, and investor reporting

Maintain clean and audit-ready cap table records and support quarterly/annual equity reporting obligations

Conduct blue sky and other research as needed

Transactional Support

Assist with venture financings, strategic partnerships, M&A diligence, and commercial transactions

Own data room and document organization for financing rounds and due diligence

Draft and process NDAs, officer certificates, board resolutions, and other standard legal documents

Draft and revise all legal documents, including corporate and commercial agreements

Draft and manage signing and closing documents, and preparing closing volumes.

Legal Operations

Maintain organized contract management and legal entity files, and support buildout of legal processes and tooling

Liaise with outside counsel People Operations and business teams on filings, agreements, and compliance matters

Help evolve our internal legal workflows, templates, and knowledge base to support scale

Conduct research, manage and organize projects

Coordinate with customers, vendors and internal stakeholders

You may be a good fit if you have

10+ years of corporate paralegal experience, ideally including both corporate law firm and in-house startup environments

Deep understanding of private company governance, venture financings, equity administration, California and Delaware corporate laws

Strong technical skills with equity platforms (e.g., Carta), virtual data rooms, and contract management tools

Experience supporting semiconductor or hardware technology companies a plus

A proactive, collaborative, go-getting team player who values precision, confidentiality, and adaptability in a fast-moving environment

Paralegal certificate or equivalent practical experience strongly preferred

Experience with initial public offerings and all public company matters

How we’re different

Etched believes in the Bitter Lesson. We think most of the progress in the AI field has come from using more FLOPs to train and run models, and the best way to get more FLOPs is to build model-specific hardware. Larger and larger training runs encourage companies to consolidate around fewer model architectures, which creates a market for single-model ASICs.

We are a fully in-person team in West San Jose, and greatly value engineering skills. We do not have boundaries between engineering and research, and we expect all of our technical staff to contribute to both as needed.
