About the Role

Central Texas Recruiting is seeking an Associate Attorney to join our client’s Corporate Transactions Practice Area in San Francisco. This role focuses on Mergers & Acquisitions and Private Equity, requiring strong transactional experience, analytical skills, and a commitment to excellence.

Key Responsibilities

Corporate Transactions & M&A

️ Handle M&A and Private Equity transactions from inception to closing

️ Draft, review, and negotiate transactional agreements and corporate documents

️ Provide strategic counsel on deal structures, regulatory considerations, and risk management

Client Advisory & Collaboration

️ Work closely with clients, investment teams, and cross-functional legal teams to execute deals

️ Conduct due diligence, financial analysis, and risk assessments

️ Stay up-to-date on market trends, legal developments, and best practices in corporate law

Regulatory & Compliance

️ Ensure compliance with SEC, corporate governance, and regulatory requirements

️ Support internal and external audits, reporting, and legal filings

Qualifications & Requirements

Education & Certifications

️ Juris Doctor (JD) degree from a top-tier law school

️ Active admission to the California Bar (Required)

Experience & Skills

️ 3–5 years of experience in Corporate M&A and Private Equity transactions

️ Strong analytical, drafting, and negotiation skills

️ Proven ability to manage multiple complex transactions in a fast-paced environment
