JOB SUMMARY:

Supervisor Title: SVP & Managing Director, NT Solar

Location: Washington, D.C.

Salary range: $120,000 – 135,000

National Trust Community Investment Corporation (NTCIC) enables tax credit equity investments that support sustainable communities nationwide. NTCIC places qualified federal renewable tax credits (ITC), new markets tax credits (NMTC) and federal and state historic tax credits (HTC). NT Solar is the business line of NTCIC that focuses on renewable energy investments. NTCIC is a wholly owned, for-profit subsidiary of the National Trust for Historic Preservation.

WORK OBJECTIVES:

NT Solar seeks a Transaction Manager – Solar (TM) to facilitate transaction closings and all subsequent fundings for up to $200MM in investment tax equity transactions per year with 4-5 investor partners and 10-15 developer partners.

DUTIES:

Participate as part of solar team to ensure that transactions flow smoothly from term sheet execution through exit.

Assist in preparing an initial Term Sheet by reviewing diligence materials and providing assessment of potential risks, project economics, binding contracts, and counterparties.

Coordinate and participate in transaction closing calls. Assist with the incorporation of proposed changes to key transaction documents, review final language, and note any deviations from the Term Sheet and/or internal diligence guidelines.

Perform ongoing diligence and review of tax equity deliverables to ensure all conditions precedent are met to complete all tax equity fundings after close.

Incorporate knowledge of best business practices, programmatic, tax and accounting considerations in assessing transaction documents and funding.

Facilitate participation of legal counsel, accountants, appraisers, and engineers on all fundings and effectively resolve any post-closing modifications.

Coordinate post-compliance buyouts between developer/investor to successfully exit tax equity transactions.

Complete data entry to track deals in funding and assist Asset Management in compiling data and ongoing reporting for deals in operation.

Effectively transition fully funded transactions to Asset Management team and support ongoing compliance and portfolio oversight and reporting on asset performance.

QUALIFICATIONS:

Bachelor’s degree with an emphasis in finance (or equivalent work experience) and either a master’s degree in business or finance or more than 3 years of experience with a solar energy company, investor, or tax credit syndicator.

At least 2 years of transaction management experience and proven ability to drive transaction fundings to completion while maintaining necessary credit, accounting, and legal standards.

Exceptional organizational skills and an ability to evaluate risks, gather and synthesize information, deliver key information on precise timelines, and propose solutions to address changed circumstances. Strong financial analysis and Excel skills.

Expertise in legal, tax, and accounting aspects of renewable projects.

Demonstrated ability to work well in a team setting.

Tax credit finance background

Solar Tax Credit experience strongly preferred.

Proficiency in transacting in project finance.

Seamless collaboration skills with internal and external stakeholders.

Proficiency in Microsoft O365 spreadsheet, database, and presentation software.

Strong written and oral presentation skills.

Experience with Salesforce a plus.

SKILLS & ABILITIES:

Familiarity and comfort with the relevant terms of other sources of financing commonly used in connection with these transactions, and ability to balance needs of the financing providers with overall financing constraints.

Ability to organize and manage multiple sources of data and effectively use data management systems for multiple transactions at various stages concurrently.

Ability to conceptualize and structure complicated transactions that rely on knowledge of tax law, accounting practices, financing tools and power contracts.

Ability to read, analyze and execute complex legal documents.

Ability to interact well with other team members, in person and by phone and email, to effectively communicate and resolve issues verbally and in writing and maintain strong relationships.

Ability to analyze complex financial models for accuracy, programmatic compliance, credit risk and accounting principles.

Ability to manage the closing process and key relationships with all counterparties, their respective counsel, and third-party service providers.
