JOB DESCRIPTION:

We are seeking a dedicated and detail-oriented Company Secretarial/Legal Officer to join our Legal and Company Secretarial Department. This role plays a pivotal part in providing essential support to both legal and corporate governance functions within our organization. You will be a crucial member of a team responsible for the Company Secretary duties of the client companies of Alter Domus. As a Company Secretarial Officer, you will work closely with all areas of the business to assist in various administrative, company secretarial, and regulatory Company Secretarial matters.

Your responsibilities will include, but are not limited to, the following:

Undertaking the daily company secretarial administration of a variety of companies, primarily focused on legal aspects of Company Secretarial Department, akin to a paralegal position.

Assisting in drafting a wide range of company secretarial documents, including minutes, resolutions, and other related documents, ensuring accuracy and compliance with applicable laws and regulations.

Providing Company Secretarial and Corporate Governance support to various business units, proficiently and confidently communicating with third-parties and clients.

Assisting with the preparation of board meetings, including circulation of agendas, preparation of board documents, and drafting of board minutes pursuant to the meetings.Assisting with the creation and distribution of board minutes and resolutions as required.

Assisting in the preparation and upkeep of client company registers.

Maintaining statutory registers and records and assisting with filings and notifications to relevant registries.

Preparation and filing of annual returns and other regulatory forms.

Assisting with various corporate and trust structures, including assisting with the preparation of various company secretarial documents and compliance files.

Assisting with various projects, as required, and dealing with ad hoc queries internally and externally.

Maintaining accurate and up-to-date records, databases, and filing systems for legal and corporate secretarial documentation. Ensuring the accessibility, quality, integrity, and confidentiality of corporate records and information.

YOUR PROFILE:

Bachelor's degree in Legal Studies, Paralegal Studies, Business Administration, or a related field preferred.

Previous experience working as a paralegal or in a similar role within a legal or company secretarial department.

Strong understanding of legal and company secretarial principles, corporate governance practices, and regulatory compliance requirements.

Proficiency in legal communication and research methods.

Excellent writing and communication skills, with the ability to draft clear and concise company secretarial and related legal documents and correspondence.

Detail-oriented mindset with strong analytical and problem-solving abilities.

Ability to prioritize tasks effectively and manage multiple deadlines in a fast-paced environment.

Proficiency in Microsoft Office Suite (Word, Excel, PowerPoint, Outlook) and document management software.

Discretion and integrity when handling sensitive and confidential information.
