Howard Stallings Law Firm is seeking an experienced Business Transaction/Commercial Real Estate Paralegal to join its legal team in its Raleigh office. In this role, you will have a significant impact on our firm by providing support to a busy practice and contributing to the successful closing of transactions. Responsibilities to include:

Preparation of organizational documents, including Articles of Organization/Incorporation and Operating Agreements/By-Laws

Drafting Resolutions for various actions

Assisting with preparation of business transaction documents, including due diligence requests, letters of intent, asset and/or stock/membership interest purchase agreements

Reviewing due diligence materials

Preparing and tracking closing checklists

Preparation of commercial real estate purchase and sale agreement and related documents through closing

Reviewing title documents and surveys

Coordination of receipt and disbursement of Trust Account funds

Participating in and attending closings

This position requires excellent organizational skills to maintain a high volume of documents, excellent attention to detail, strong communication skills, accurate typing and proofreading skills, and the ability to handle several projects at one time and meet multiple deadlines in a fast-paced environment.

The qualified candidate must be comfortable with technology and should have a strong knowledge of Microsoft Office (Word, Outlook, and Excel) and filing/recording procedures with the North Carolina Secretary of State’s office and North Carolina Registers of Deeds offices (Simplifile). A working knowledge of commercial real estate transactions is a plus.

A paralegal certificate is preferred but not required.
