Private Equity Accounting/Legal Associate, La Jolla (San Diego), CA

MidRail Holdings LLC, a transportation private equity infrastructure investment fund, seeks a highly skilled and motivated In-House Private Equity Accounting/Legal Associate to join our private equity infrastructure team.

Manage all aspects of our private equity accounting, finance operations and legal affairs by handling all accounting (financial statements) and investor reporting, corporate law documents (e.g., fund formation, LOIs, SPA, etc.), contract and employment contract review. Additionally, be part of the investment team building financial models, corporate due diligence and writing investment committee memos, etc. devoting time evenly between accounting/legal and investment teams (50% accounting/legal + 50% Investment).

This position offers an excellent opportunity for candidates with 2-5 years of corporate law and accounting/finance experience further to develop their skills within the dynamic private equity field.

This is a position for an entrepreneurial, self-motivated, and ambitious individual. You will join a small team, work directly with the CEO/President, and be involved in the highest level of interactions, learning, and exposure to senior executives, partners, and counterparties.

Responsibilities:

Accounting, Investor Reporting, Fund Management and Compliance: Prepare and review investor reports, providing clear and concise information on fund performance, reviewing or preparing financial statements (working closely with our auditors and outside accounting firms), and relevant legal matters. Maintain accurate and up-to-date compliance documentation and oversee the flow of funds process, including coordinating with internal and external stakeholders to ensure accurate and timely fund transfers, managing fund expenses, and maintaining proper documentation while collaborating with Third-Party Fund Administrators.

Legal : Assist in all aspects of fund formation documents, negotiating terms, and ensuring compliance with regulatory requirements. Handle all internal legal matters related to employment and various corporate matters, and review and negotiate vendor contracts, service agreements, and other legal documents about the operation of a small/growing private equity fund.

Finance and Investments: Build private equity acquisition models, investment decks and negotiate legal documents. Assist in private equity due diligence processes – work with operating executives at portfolio companies and outside consultants.

Required Experience, Education, and Skills:

· A MUST REQUIREMENT: Juris Doctor (J.D.) degree from an accredited law school and admission to the bar. 2-5 years of corporate law experience, focusing on M&A, private equity, or investment funds at a top law firm.

· A MUST REQUIREMENT: CPA (or equivalent) and 2-3 years of Accounting and Finance or MBA experience.

· Knowledge of contract and employment law and experience in drafting/negotiating contracts with a keen eye for details.

· Strong problem-solving capability and analytical skills.

· Understanding of corporate finance, accounting, and business in general.

· Exceptionally detail-oriented with an aptitude to synthesize large amounts of information and develop it into financial analysis.

Compensation:

$150K starting salary plus bonus (equity + cash). Actual base salary may vary based on relevant experience, time in the role, peer and market data, prior performance, and rail/transportation sector familiarity. The successful candidate will be eligible for an annual discretionary incentive compensation award.
