The Opportunity

This opportunity is Worldline’s Merchant Services Business Line which is a major international player in end-to-end Commercial Acquiring, Multichannel Payment Acceptance and Payment Terminal solutions. Merchant Services’ unique combination of payment, digital and transactional expertise allows merchants to boost sales and enhance the customer experience.

We cover the full retail value chain, online and in-store, through a complete approach, delivering a real digital journey for retailers and their customers and facilitating consumer engagement, via seamless services, on any device – with payment at the heart of the shopping experience.

This is legal manager role where candidate needs to impart legal professional skills to address and work corporate legal and governance requirements of the organization.

Day-to-Day responsibilities:

Drafting, advising and reviewing contracts and other legal documents to ensure they are legally binding and accurately reflect business objectives.

Structure and negotiate agreements with customers, vendors and partners related to payment industry.

Evaluating the RFP deals and providing legal risk comments and mitigating solutions.

Drafting, reviewing, negotiating (with internal and external stakeholders), execution and record management of all types of contracts i.e, MSA, Software agreements, Licensing Agreement, Lease Agreement, MoUs, NDAs, teaming agreement,

Cross-border commercial contracts, data privacy law/GDPR

Engaging with product and business teams to understand traditional and non-traditional product offerings and provide relevant legal support and advise.

Ensure appropriate and relevant legal trainings to relevant stakeholders.

Drafting of legal documents i.e. Power of Attorney, Affidavits, written submissions, applications, petitions, response to legal notices

Manage and liaise with external counsels and advisors.

Provide legal support and manage the full range of company transaction including M&A, due diligence.

Overseeing corporate secretarial and governance requirements and operational activities.

Assisting and monitoring team on ensuring regulatory, legal and governance compliances.

Practical knowledge in handling criminal and civil matters including Arbitration proceeding, appearances before judicial/Para judicial authorities; liaison with law enforcement authorities i.e. police, cyber cell etc. Coordinate with external counsels and provide briefs to them and ensure adequate representation.

Researching and anticipating unique legal issues that could impact the company in its operating area /sector and industry.

Identification of legal, regulatory, and other critical risk in the business and other contracts and advising mitigation efforts to the management

Drafting and implementation of corporate policies, guidance notes, manual etc. for regulatory and contractual compliance

Assist in digitization projects for the legal department.

Who Are We Looking For

Qualification: Essential - LL.B or equivalent law degree from reputed university.

Desirable - LL.M/Membership of Institute of Company Secretaries of India

Demonstrable in-house experience working with MNCs, Fintech, banking/NBFCs strongly preferred.

Skilled in key legal concepts relating to existing and emerging technologies.

Working knowledge of Payment Industry, Technology, BFSI industry

Excellent skills on legal commercial negotiations, ability to manage complex business deals and handle work pressure by supporting team.

Excellent organizational skills; proactive attitude; working closely with local and cross-regional teams (APAC and Europe); ability to work both as team player as well as strong legal advisor.

Excellent verbal and written communication skills

Knowledge of GDPR and data privacy laws desirable

Excellent analytical skills, pragmatic and solution-oriented approach.

Experience in modernization and digitization of legal departments desirable.

8-20 years of post-qualification work-experience
