Counsel - Corporate

Drafts and negotiates contracts and maintains a general business practice in order to resolve the various legal and business issues facing a publicly held corporation.

1. Draft, review, edit, and negotiate contracts related to a wide array of commercial matters, including professional services, technology licensing and cloud/SaaS subscriptions, banking and payment methods, purchase/sale/lease of goods and services, advertising/marketing, and other commercial transactions.

2. Work cross-functionally with business and Legal colleagues to support the Company’s initiatives, providing legal counsel and business-focused solutions.

3. Develop and implement Company policies and procedures.

4. Anticipate and minimize potential legal risks.

5. Effectively and efficiently manage outside counsel.

1. Juris Doctorate degree required.

2. Minimum six years of experience at a law firm and/or in-house with experience relevant to the essential duties and responsibilities required.

3. Experience with marketing and advertising law, consumer protection regulation, intellectual property, and/or ERISA/benefits is preferred.

4. Ability to work cooperatively with the Company’s management, attorneys and staff, as well as outside professional advisors and vendors required.

5. Ability to keep Company proprietary information confidential required.

6. Excellent problem-solving skills and business judgment required.

7. Admitted to the bar and in good standing in Ohio or admitted to the bar and in good standing in another state and eligible for admission on motion in Ohio.
