Key Responsibilities:
The Specialist’s general accountabilities include, but are not limited to, the below:
Supporting with the development of Group Legal strategy, systems and processes to manage legal risks & rewards in relation to commercial transactions, ensuring appropriate alternative commercial & legal structures and strategies are considered
Advising on high value and complex Merger & Acquisition and joint venture transactions, both acquisitions and disposals.
Advising on multi-billion-dollar financing initiatives, including corporate finance, high yield notes and project financing.
Assisting significant international litigation and arbitration matters. This included formal disputes, but also working with the business and functions to ensure the prompt resolution of disputes, minimizing exposure to company liability/ financial costs
Creating awareness of, and communicating changes or developments to commercial or company legislation affecting FQM’s businesses
Participating in external negotiations with Government agencies and all applicable stakeholders and drafting agreements to ensure that FQM’s legal and commercial interests are well-represented and projects are delivered and maintained to meet company goals
Managing the drafting, reviewing and negotiating of contracts and other documentation relating to the business and operations. Providing fit-for-purpose advice to FQM’s businesses in respect of commercial legal issues that affect business plan execution
Preparing internal legal papers for the executive leadership team and board, along with management of external legal advisors as required
Engaging and managing the provision of legal services by external counsel where required.
Qualifications:
LLB (hons) or equivalent
Qualified as a solicitor in England and Wales
A post graduate/ Master’s degree desirable
Experience & Technical Skills Required:
Proven working experience as legal counsel within a top tier law firm or market leading in-house company.
The candidate will have developed a solid technical legal capability, and have demonstrable ability in the drafting, negotiation and review of legal agreements.
Minimum 5 years’ experience PQE. Solid transactional, corporate or finance legal background
Mining & international experience would be an asset
In depth knowledge and relevant experience of commercial, contract & company law, regulations & industry practices
Extensive legal experience and incisive grasp of legal issues and capability to expand knowledge in relevant areas of law and regulatory affairs
Excellent legal and strategic judgment, coupled with strong business partnering, negotiation and stakeholder management skills
Other Requirements:
Candidates must have the right to work in the applicable region without visa sponsorship
Mobile. Willingness to work and travel across FQM’s operations and locations worldwide
Fluency in English is required. Proficiency in other languages highly regarded
