Position Summary: Provide company secretarial and entity management support.

Essential Duties and Responsibilities:

Serve as Company Secretary to the Company’s Irish subsidiaries, providing all normal and customary services, including the maintenance of books and records and the coordination of external service providers.

Act as a liaison between the external auditors and tax providers to the Company’s Irish subsidiaries and internal staff members, helping to address any queries raised.

Work with internal tax colleagues and external tax advisors to ensure that all necessary Irish tax filings are timely made (including payroll, VAT and corporation tax).

Work with internal staff members and external legal counsel (as necessary) to ensure that all necessary Irish corporate returns are timely filed.

Monitor bank statements of the Irish subsidiaries for interest payments, debits and credits.

Work with internal accounting staff members to ensure accurate financial records are kept for the Irish subsidiaries.

Monitor changes in legislation relevant to the company secretarial function, and work with internal and external legal counsel as needed

Ensure that all communications sent to the Irish subsidiaries are directed to the appropriate internal staff members or external advisors (e.g., emails, written correspondence, voicemails and government notices).

Work cross-functionally with key stakeholders within Tax, Treasury, Finance, Total Rewards and Legal to provide input on and prepare documentation for regulatory filings, ownership/corporate structure, and financial transactions with subsidiaries.

Oversee, lead and coordinate global entity management for all of the Company’s global subsidiaries, including the following:

Working with internal staff members, outside counsel and company secretarial service providers in international jurisdictions to ensure that all necessary company secretarial duties are properly attended to and providing support for local corporate governance, as needed;

Assisting with the completion of onboarding, anti-money laundering, sanctions, data privacy and know your customer forms from third parties providing company secretarial services to the Company’s subsidiaries;

Maintaining an electronic database of all of the Company’s subsidiaries, including relevant information such as charter documents, minutes, share registers, directors and officers;

Maintaining a calendar of corporate and tax filings and annual meeting dates for all Company subsidiaries;

Maintaining an up-to-date organizational chart of all Company subsidiaries;

Ensuring internal processes are followed with respect to share allotments and issuances, amendments to charter documents, and other formalities;

Provide guidance across all Company entities regarding corporate signatory authority;

Implement sound corporate governance practices to ensure each Company entity remains in good standing;

Creating and providing clear and concise reports to the General Counsel and other members of senior management on the status of entity management; and

Coordinate periodic good standing confirmations for all Company subsidiaries.

Work with General Counsel to help prepare materials for parent Company Board and shareholders' meetings, including presentation materials, resolutions, and compilation of Board books, and assisting with minutes during meetings.

Coordinate delivery of materials to Board and Committee members in preparation for and between meetings.

Assisting in the evaluation of, and implementing, technology capabilities to automate routine processes.

Assist General Counsel with the set up of data rooms, execution of agreements, and other activities associated with mergers and acquisitions and other strategic transactions.

Assist General Counsel with research and special projects, as needed.

Education and Experience

Degree required/preferred or a combination of education and 10 years of experience relative to position

Minimum 10 years’ experience in company secretarial support or accounting

Knowledge and Skill Requirements
