Overview Key responsibilities include transaction support, coordinating internal reorganizations, board governance support, minute book records maintenance, as well as providing support to other company teams.

More specifically, the Paralegal will have the following responsibilities: * Prepares legal documents such as pleadings, resolutions, agreements, claims, and contracts; reviews and edits prepared documents for accuracy and completeness; * Conducts legal research, reviews applicable legal principles and precedents; prepares summations and assists in writing briefs; * Investigates facts for projects from existing files and through inquiries of various departments; organizes and coordinates information that has been gathered; drafts summaries; * Prepares witnesses for depositions and interviews witnesses to gather information; prepares exhibits and discovery responses; * Assists in managing the work of outside counsel by tracking and following up on issues related to workflow and costs; * Develops and maintains filing systems and data bases of business and legal documents and company information; * Assist with corporate transactions; liaise with members of the tax and treasury teams, prepare closing agendas, draft relevant documents and coordinate deliverables for closings; * Maintain minute books and corporate entity database from formation through to dissolution; draft resolutions, documents and filings with respect to annual resolutions; document flows of funds, including capital contributions, dividends, returns of capital and distributions; document transfers of interests; implement changes to director and officer slates; draft special approvals; maintain organization charts, etc.; * Assist treasury and capital markets teams with bank account opening and KYC requests and requirements; * Assist in preparing meeting materials, including the preparation of notices, agendas and resolutions, distribute meeting materials, prepare minutes, etc.; * Assist with corporate disclosure, compliance and regulatory filings; * Research corporate law matters as required; and * Provide support to the Corporate Legal Services team and other legal teams, as required.

Job Requirements * Demonstrated ability to prioritize, organize and coordinate work while showing initiative and sound judgment; * Demonstrated problem solving, decision making and analytical skills.

* Ability to work independently and as part of a team; * A self-starter and detail-oriented person who enjoys interesting and challenging work; * Organized, flexible and capable of working in a dynamic fast-paced environment; * Ability to manage several priorities and to work under tight deadlines; * Advanced knowledge of Microsoft Office Suite (Power Point, Excel, Word, Outlook) and Adobe; experience with MS SharePoint is an asset; and * Excellent English written and verbal communication.

* Experience in conducting law library research and in using Internet law research tools.

* Demonstrated effective written and oral communications skills and the ability to appropriately handle highly confidential and propriety information.

* Attention to detail, accuracy, and flexibility in handling multiple tasks, often under time constraints.

Qualifications * High School / GED * Law Clerk/Paralegal Diploma or equivalent education; and * Minimum of two years of experience working as a corporate paralegal in a fast-paced and dynamic law firm or in-house environment.

* Experience preparing organizational charts and drafting resolutions and transaction closing documents, as well as handling minute book maintenance a plus.
