About the Organization:

is a joint venture (“JV”) between Texmaco Rail & Engineering Limited and NYMWAG C.S. a.s., to design, manufacture and sell Railway freight Cars, and its components in India and Abroad, to cater to growing demand of wagons in domestic and export market, which is boosted by initiatives taken by Indian railways to modernize the entire rail system along with having modern infrastructure.

Position: Manager/Senior Manager

Purpose: Looking for Legal Manager who has In-depth knowledge of Corporate Laws, NCLT procedures, Companies Act, Labour Laws, Contract Act, Due diligence, and other relevant Indian acts. Stay updated on changes in labor laws and regulations.

Job Description:

Handling litigation by and against the Company before various Courts, tribunals, consumer forums and other quasi-judicial authorities

Draft, review and negotiate all kind of agreements including but not limited to major business agreements, brochures, templates, advertisements, etc and related communications.

Drive contract lifecycle from drafting through completion of the negotiation process and/or contract execution.

Identify business objectives, related issues and transactions related thereto to provide a risk/benefit analysis.

Provide opinion to the stakeholder on new business initiatives, sales & marketing issues, FDI and other automobile/ railways related day to day issues.

Proactively take various initiatives, develop training programmes on business- critical matters/policies, upcoming laws & amendments in thereto and build awareness amongst the stakeholders.

Identify opportunities to drive forward including but not limited to supporting related transactions, develop legal projects and processes to create legal efficiencies and productivity.

Legal Due Diligence

Set up appropriate risk mitigation strategies through identification, development and monitoring of key metrics for effective daily management of legal and contractual risk.

Continuous monitoring of stringent compliances of the company.

Vetting of Legal Documents / Recovery of Sticky Debts/ Adoption of Legal Actions/ Filing Suits

Follow up with concerned departments for renewal terms and conditions and execution of the same within due period.

Create Legal strategy and prioritizes the organization’s approach towards litigation both preventive or in response.

Work with departmental leadership across the business in identifying and managing potential legal risks.

Ensures protection of the organization’s interest towards any legal action arising out of contract disagreements or Legal Disputes.

Manage and execute all high-value Litigations both for domestic and international business for the organization.

Ensure all legal processes are in place and executed as per the recommended standards. This may relate to Lease Agreements, Contracts Management, and Issuances of Licenses for the organization.

Qualification & Competencies:

LLB with 10-15 years of post-qualification experience with an MNC and a good law firm/independent practice.

Knowledge of Indian Laws, International Laws, Corporate Laws, Civil & Criminal Laws, Petition drafting

Skills & Experience:

8-10+ years of experience in of a large manufacturing company

A mix of in-house and law firm/independent practice experience is preferred.

Excellent analytical, negotiation and communication skills
