They are seeking an experienced and well-rounded attorney to be their first legal hire. As the General Counsel, you will be the lead legal advisor on all company matters and be able to utilize outside counsel for subject matter expertise. In this role, you will manage the drafting and negotiation of contracts for the company’s project development, project finance, and corporate finance transactions.

Responsibilities:

Lead and oversee project development transactions, including site acquisition, permitting, zoning, and land use matters.

Negotiate and draft a variety of agreements related to project development, including purchase agreements, leases, easements, and development agreements.

Manage project finance transactions, including debt and equity financing, tax equity financing, and public-private partnerships.

Provide legal support for corporate finance activities, including capital raising, mergers and acquisitions, and strategic partnerships.

Collaborate with cross-functional teams to identify legal risks and opportunities associated with project development and finance transactions.

Ensure compliance with regulatory requirements and industry standards throughout the project lifecycle.

Manage relationships with external legal counsel and other advisors as needed.

Stay informed about legal and regulatory developments relevant to the company's business and industry.

Qualifications:

Juris Doctor (J.D.) degree from an accredited law school and active membership in good standing with the state bar.

Minimum of 7 years of legal experience working in the conventional energy, infrastructure, or renewable energy sectors is highly desirable.

Must have a strong background in project development, project finance, and corporate finance transactions.

Must have robust experience with land acquisitions, permitting, and zoning as well as drafting and negotiation engineering, procurement, and construction (EPC) contracts
