Corporate Attorney

Seeking a Corporate Attorney with 7+ years of experience in mergers & acquisitions for a prominent DC law firm.

Responsibilities & Qualifications:

7+ years of experience in Corporate M&A

Draft and negotiate purchase agreements, financing agreements, and other transaction documents, and coordinating due diligence and closings. This includes acting as counsel to buyers and sellers in complex mergers, business restructurings, asset purchase and sale transactions, equity purchase and sale transactions, financing rounds from individual investors as well as private equity and venture capital firms, and executive compensation and synthetic equity offerings.

Experience with entity formation and structuring, limited liability company agreements, shareholders agreements, partnership agreements, employee incentive plans, and commercial lending transactions is required. M&A and Corporate experience with government contractors is also a plus.

JD from accredited law school

Outstanding negotiation and communication skills

Ability to work collaboratively

Applicants should be admitted to practice in or eligible for prompt admission into the District of Columbia. Maryland and/or Virginia admissions are encouraged. This is a full-time, hybrid position based in our Washington, DC office. We will also consider candidates outside the DMV area, working a fully remote schedule.
